UK Ltd formation for Shopify — what to expect

A UK Private Limited Company (Ltd) is a separate legal entity registered at Companies House. Non-resident founders can form one remotely through structured identity verification support. Annual duties typically include the Confirmation Statement (CS01), accounts, and Corporation Tax registration with HMRC when trading starts. Dormant companies still have lighter filing duties — they are not a full exemption from Companies House.

Ask the right question before you incorporate

If suppliers want a company invoice, or gateways reject individual accounts from your country, a Ltd is sensible. If ads are not converting or the product is weak, formation will not fix conversion. Start with one sentence: what you sell, where you ship from, and to whom — that sentence usually appears in the bank file and gateway review.

Common rejection reasons: missing refund policy, unrealistic shipping times, vague “trading” descriptions, or stolen product images. Should I put the London address on Shopify’s contact page?

Many stores use the company address for legal correspondence. Stay transparent: if you ship from another warehouse, say so in the shipping policy so customers and gateways are not misled.

My store is still under construction — form now or after launch?

If you will apply for a gateway within weeks, forming early saves waiting for the CRN. If launch is months away and no contract needs a company yet, wait so you are not paying annual compliance on an idle entity.

Does forming a UK company guarantee Stripe?
