Delaware LLC Formation — Why It's the Default Choice

Delaware is the most-used US state for LLC and Corp formation, including by non-resident founders — a specialized business court, strong owner privacy, and no state corporate tax on income earned outside Delaware.

How remote UK company formation works in practice

A UK Private Limited Company (Ltd) is a separate legal entity registered at Companies House. Non-resident founders can form one remotely through structured identity verification support. Eteform handles the filing and checks in 24–48 working hours. Six service packages start from $299; the $135 Companies House fee is shown separately.

After incorporation you receive a CRN and digital documents. Many founders then open Wise Business or Revolut Business, set a London registered office if needed, and prepare for Stripe, Shopify or Amazon using matching company details. Annual duties typically include the Confirmation Statement (CS01), accounts, and Corporation Tax registration with HMRC when trading starts. Dormant companies still have lighter filing duties — they are not a full exemption from Companies House.

UK company formation does not grant UK residency or a visa. Eteform guarantees legal, complete execution of every request, and bank or payment-gateway approval when all requirements are fully met — with a correctly filed, transparent entity and Arabic support from order to certificate. Compare packages, read the formation guide, or start your order with clear USD pricing.

What it actually costs every year

Delaware LLCs pay a flat annual Franchise Tax (currently a fixed amount, not tied to revenue) plus a registered agent fee, since every Delaware LLC must maintain a Delaware-based registered agent. We confirm the current tax amount at the time you order — it changes only by legislation, not often, but we won't quote you a number that could be outdated.

Privacy: member names aren't on the public record

Delaware doesn't require LLC member/owner names to be listed in the public formation filing — unlike some other states. This doesn't remove BOI/FinCEN federal reporting obligations (a separate, federal requirement — see our BOI/FinCEN filing service), but it does mean state-level public records don't expose ownership.

How it fits with the US LLC Full Package

Delaware is available as the formation state within Eteform's US LLC Full Package (packages from $199 — see Services for current pricing). The package includes EIN filing; BOI/FinCEN reporting is a separate service since it's an ongoing federal obligation, not a one-time formation step.

FAQ about this service

Is Delaware always the best choice?

It's the most common default for a reason — but if your only US activity is Stripe/e-commerce with no US operations, Wyoming is a genuine lower-cost alternative worth comparing before you decide.

Do I need to visit Delaware or the US to form the LLC?

No. Formation, the registered agent, and EIN filing (for non-SSN holders) are all handled remotely.

Does a Delaware LLC mean I pay Delaware state tax on all my income?

No — Delaware doesn't tax income earned outside Delaware for an LLC with no physical Delaware operations. You may still owe US federal tax and tax in your country of residence depending on your situation; this isn't a substitute for tax advice specific to you.
