Saudi Formation Process

A clear path from eligibility review to launch. Timing depends on activity, documentation completeness and authority processing — we do not quote guaranteed turnaround.

  1. Eligibility & Activity Review

We review the activity, ownership structure and foreign parent documentation against MISA eligibility for the proposed route.

  2. Investment Registration

ETEFORM prepares and coordinates the Saudi investment registration application subject to regulatory approval.

  3. Saudi LLC Formation

We prepare the Saudi entity incorporation process, including Articles coordination for the approved structure.

  4. Commercial Registration

The Saudi commercial entity and CR are completed subject to approval by the competent authorities.

  5. Business Address & Registrations

Coordinate the applicable registered/business address and related registrations within the package scope.

  6. Launch

Receive your corporate documents and continue with operational setup (ZATCA guidance, banking as a separate path if needed).

Documents Required

Exact documents depend on the registration route and foreign parent profile. Typical files include:

  • Passport / ID of directors and shareholders
  • Proof of address for key individuals
  • Foreign parent company documents (certificate, articles, ownership)
  • Financial statements of the foreign parent when the applicable route requires them
  • Proposed Saudi activity description and trade name preferences
  • Board resolutions / powers of attorney as required for filing

UK Company to Saudi Expansion

A UK Limited company can be used as a foreign parent for Saudi investment registration when documentation and eligibility requirements are met. A newly formed UK Ltd is not automatically ready for immediate Saudi filing — Saudi incorporation proceeds once the parent satisfies the applicable MISA documentation route, which may include financial statements.

UAE Company to Saudi Expansion

A UAE company may also act as a foreign parent for eligible Saudi structures, subject to MISA eligibility, document legalisation requirements and authority approval. Activity restrictions still apply.

Business Address Requirements

Saudi companies generally need an applicable business / national address arrangement. Packages include a first-year standard business address allowance. Non-standard premises or municipality requirements may need a separate quotation.

Saudi corporate banking

Saudi corporate banking support may be available as a separate service and remains subject to the bank's KYC, residency, signatory and compliance requirements. A Saudi bank account is not guaranteed and is not included as an unlimited package promise.

Remote process management

Designed to be managed remotely wherever the applicable authorities and service providers permit. Some banks, activities or later operational steps may still require in-person attendance or local presence.

Saudi Company Formation Costs

Published package prices cover ETEFORM case management plus a defined allowance for standard government and regulatory fees for standard eligible cases. They are not an open-ended commitment to absorb every third-party charge.

Saudi Company Formation FAQs

Can a foreigner own 100% of a Saudi company?

For eligible activities, yes — subject to MISA eligibility and regulatory approval. Not all activities are open to 100% foreign ownership.

Do I need a Saudi partner?

For eligible activities under the applicable foreign investment rules, a Saudi shareholder is not required. Restricted or regulated activities may differ.

Can I form the company if I live outside Saudi Arabia?

Yes — the service is designed for non-residents and can often be managed remotely where authorities and providers permit. Later banking or operational steps may have additional requirements.

Can my UK company own the Saudi company?

Yes, when the UK company meets the documentation and eligibility requirements for the chosen MISA route. A newly incorporated UK Ltd may need supporting documents (such as financial statements) before the Saudi stage can proceed.

Can my UAE company own the Saudi company?

Yes for eligible structures, subject to MISA eligibility, document requirements and regulatory approval.

Do I need a Saudi residence visa?

Company formation and residency/visa processes are separate. Visas and residency are not included in these packages and depend on your operational needs and applicable rules.

Is a Saudi bank account included?

No. Saudi corporate banking support may be available separately and remains subject to the bank's KYC, residency, signatory and compliance requirements.

Do I need a business address in Saudi Arabia?

An applicable business / national address arrangement is typically required. Packages include a first-year standard address allowance; non-standard premises may be quoted separately.

How long does Saudi company formation take?

Timing varies by activity, completeness of documents and authority processing. We do not advertise a fixed guaranteed turnaround.

What documents are required from my foreign company?

Typically incorporation certificates, articles, ownership evidence and, depending on the route, financial statements, plus legalised/translated copies where required.

Can a newly formed UK company immediately establish a Saudi company?

Not necessarily. Saudi incorporation proceeds once the foreign parent satisfies the documentation and eligibility requirements applicable to its MISA application. Newly formed parents may need additional supporting documents.

Are all activities available for foreign investors?

No. Availability depends on MISA eligibility and any sector-specific licences. We review the proposed activity before proceeding.
