Building SaaS in Bengaluru or consulting from Mumbai? Consider whether a UK company limited by shares suits your international contracts: who owns it, delivers the work and earns the payment? Eteform helps with incorporation and identity verification. Review Indian investment, tax and registration requirements—and independent account approval—before transferring contracts or funding shares.

Can you form a UK Ltd from India?

Yes. You can form a UK Limited company from India remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

Forming a UK Ltd from India — practical overview

Start with a commercial reason

Reasons include co-founder ownership, development contracts or a customer requiring a corporate supplier. Compare these with your existing Indian export business; overseas customers do not make incorporation necessary. Check existing contracts, code ownership, branding, data responsibilities, support and refunds.

Changing the invoice issuer does not automatically transfer contracts or intellectual property. Where an Indian business supplies the UK company, document the work, responsibilities and payment terms and obtain local advice.

Plan ownership before incorporation

Founder ownership, Indian-company ownership and a UK parent with an Indian subsidiary are different arrangements. A separately incorporated subsidiary is not a branch. Before choosing a parent–subsidiary structure, review individual-investor restrictions, further subsidiaries and investment back into India.

RBI’s overseas investment directions distinguish resident individuals from Indian entities and address structural conditions. UK incorporation is not Indian approval of the structure.

Incorporation and its limits

UK rules do not require directors to live in the UK. A company limited by shares needs at least one director and shareholder and must identify its people with significant control.

It also needs an appropriate registered office in its UK jurisdiction of registration and a monitored email address. Ownership grants no UK visa, residence or right to work. It is not Indian company registration or a local licence.

Work, staff or regulated services in India may require separate MCA, tax, GST or licensing reviews. A registered office does not relocate you or your work.

Indian passports, PAN and Aadhaar: consistency before submission

Describe available documents first; submit through the designated verification channel. Use the Latin-script name in your passport. Flag initials, different name ordering or old addresses on PAN, Aadhaar or banking records; never edit document images.

Linking evidence, name-change documents or translation may be needed. PAN and Aadhaar are not automatically accepted as ACSP identity or address evidence. We do not promise either will replace a passport. The reviewer must assess the particular document against the official route, not its familiarity in India.

  • A valid passport and clear data-page copy.
  • Full and former names, date of birth and email address.
  • Your actual home address and the previous twelve months’ address history.
  • Supporting evidence specified for your verification route, such as a bank statement or current-address utility bill.
  • Directors, shareholders, voting and control rights, and the intended activity.

Director and PSC identity verification

Companies House requires identity verification for directors and people with significant control (PSCs), with verified identities linked to the relevant roles. Not every shareholder is a PSC; rights and circumstances matter.

Eteform offers ACSP verification for all nationalities, including machine-readable passports without chips, subject to checks and without guaranteed approval.

Under the official standard, human document checking requires two permitted documents: two photographic documents from group A, or one from group A and one from group B.

Examples include a passport with a bank statement or utility bill, subject to authenticity, identity and facial checks. Keep your personal code secure after successful verification.

Share acquisition and funding: review ODI first

Indian overseas direct investment rules include subscription for, or acquisition of, unlisted foreign equity. Do not assume a small incorporation shareholding falls outside them.

Before subscribing, acquiring or remitting funds, ask your authorised dealer (AD) bank to assess FEMA residence, the permitted route and required evidence and reporting. RBI directions cover Form FC, a Unique Identification Number (UIN), investment evidence and ongoing reporting through the designated bank.

An automatic route is not exemption from conditions, and a UIN is not RBI approval. Calling a payment an “incorporation fee” does not determine its investment treatment. Separate service fees, capital and other funding in your records.

Software exports, receipts and GST

Review Indian export contracts, invoices, receipts, realisation, repatriation and reporting with your AD bank. RBI’s current export and import regulations address services, software and declarations.

Do not rely on outdated instructions or assume collection through a UK company removes an Indian exporter’s obligations. A foreign customer or foreign-currency invoice alone does not settle GST. Supplier and recipient locations, place of supply, payment conditions and the relationship between establishments matter.

CBIC’s circular distinguishes branches of the same person from separately incorporated companies; other export conditions still apply. Have an adviser determine registration and treatment rather than assume exemption or eligibility.

UK filings and Indian effective management

Plan for records, annual accounts, company updates and the confirmation statement. If HMRC issues a notice to deliver a Company Tax Return, file even with a loss or no tax due.

Review VAT and payroll where applicable. Appointing an accountant does not remove directors’ responsibilities. UK incorporation generally establishes UK tax residence, subject to exceptions and treaty rules.

In India, substantive management and commercial decisions require a place of effective management (POEM) review. A UK address or formal meeting does not settle the issue.

Equally, one director living in India does not alone determine Indian residence; facts, conditions and exceptions matter.

Separately, people working or concluding contracts in India for the UK company can raise permanent establishment questions in India; a UK structure is not a way to avoid Indian residence or PE analysis. Review personal residence, remuneration, dividends, foreign assets and disclosures too.

A UK–India tax treaty modified by the MLI exists, but does not automatically eliminate tax or filing. This is not individual legal, tax or foreign-exchange advice.

Apostilles: follow the document’s country of issue

The Apostille Convention entered into force for India on 14 July 2005 according to HCCH; its accession objection record contains no UK objection.

For covered public documents between the countries, an apostille replaces the usual consular legalisation chain. For a UK company certificate requested in India, confirm the format and use the UK Legalisation Office route.

Certification of a copy or signature may be needed first. Indian documents follow the Indian process; HCCH identifies India’s Ministry of External Affairs as the competent authority.

An apostille neither certifies content nor replaces translation or guarantees acceptance. Not every application needs one.

WorldFirst: application assistance only

We help prepare and submit a WorldFirst application within the agreed scope. This is no guarantee of an account, payment gateway, currency or settlement route to India. The provider independently assesses residence, ownership, activity and documents.

Service suitability, compliance and sanctions checks depend on the parties and activity; nationality alone does not mean approval.

Hypothetical example: a Pune SaaS team

This is not a customer testimonial. A team considers a UK company for subscription contracts while development stays in India.

It compares personal and Indian-company ownership, reviews ODI, GST and effective management with its adviser and bank, documents product rights and development contracts, completes verification and treats account approval separately before promising customers a collection method.

FAQs for UK formation from India

Is a UK Ltd always better for an Indian software exporter?

No. Compare commercial need and compliance costs with your existing Indian structure.

Can PAN and Aadhaar replace my passport?

Do not assume so. Documents must satisfy the official ACSP route; resolve name and address differences first.

Does a chipless Indian passport prevent verification?

Not necessarily. Eteform offers specialist review for machine-readable chipless passports with supporting evidence, without a guaranteed outcome.

Can I acquire the shares and consult my bank afterwards?

Do not rely on that sequence. Consult your AD before subscription, acquisition and remittance about applicable ODI requirements.

Can I put a UK parent above my Indian company immediately?

Do not assume permission. Ownership changes, investment back into India and subsidiary structures require separate review before implementation.

Does an Indian document need a UK apostille?

No. UK legalisation is for eligible UK documents. Follow the Indian route and the recipient’s translation and certification requirements.
