A developer in Istanbul selling software subscriptions, an Izmir design agency negotiating a British contract, and a Turkish goods exporter have different reasons to consider a UK private limited company. Start with the commercial purpose: which entity will sign contracts, perform the work, own the intellectual property and receive payments? A UK registration should support that structure, not conceal where the business operates. Eteform supports UK company formation and identity verification. Compare the current packages and identity-verification service before choosing. Formation does not guarantee a bank or payment account, Turkish licensing, or immigration rights.
Can you form a UK Ltd from Turkey?
Yes. You can form a UK Limited company from Turkey remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.
A UK Ltd is registered with Companies House. In Türkiye, limited şirket and anonim şirket are distinct company forms under Commercial Code No. 6102: respectively, a limited liability company and a joint-stock company.
Turkish incorporation uses the trade registry and MERSİS; statutory notices appear in the Turkish Trade Registry Gazette. These are not alternative names for Companies House, and a UK certificate does not create a Turkish company or register a Turkish branch.
If you already have a Turkish business, map its relationship with the proposed UK company before moving customer contracts. Ask a Turkish accountant, or mali müşavir, about local registration, invoicing, staff and any sector permissions.
The company nevertheless needs an appropriate registered office in its UK registration jurisdiction. A correspondence address is not evidence that the work or management takes place there.
Passport names: use the document, not a conversion rule
Check the name fields on your actual issued passport, including its machine-readable zone (MRZ). Do not create an “English name” by removing Turkish marks or applying an internet transliteration table.
If the visible name and MRZ differ, show both to the identity checker and agree how the application fields should be completed before submission. Also compare your bank statement and any earlier identity documents.
Explain spelling differences or a name change with supporting evidence rather than editing a document image.
It does not establish a universal Turkish-letter conversion rule for every application.
Identity checks and documents
Prepare the following for an initial review: Your passport and clear, unaltered evidence of identity. Full and former names, date of birth, home address, the previous 12 months' address history and your own email address. Supporting documents requested by the checker, such as an eligible bank statement or utility bill.
Proposed directors, shareholders, share allocation, people with significant control, and a clear account of the business and customer locations. An Authorised Corporate Service Provider (ACSP) must meet Companies House's verification standard; registration alone does not make every document acceptable.
Under its manually checked route, the standard requires two eligible documents: two Group A photographic documents, or one Group A document plus one Group B document. A person outside the UK must provide at least one government-issued document. Confirm the combination before ordering translations.
A non-biometric passport is a reason to discuss the available route, not a promise that a particular file will pass. Eteform supports ACSP verification for all nationalities, including chipless passports, subject to valid documents, sufficient evidence and required checks, without guaranteeing a successful outcome.
Residence, nationality and sanctions are separate checks
Non-Turkish founders living in Türkiye need an individual assessment of sanctions, documents and service eligibility before proceeding. A Turkish address or residence permit is not clearance, and the legal ability to incorporate is separate from a provider's decision to accept an application.
Check the UK Sanctions List and the rules relevant to the owners, controllers, counterparties, activity and payment route. UK companies remain subject to UK sanctions when operating abroad.
Turkish financial restrictions also require attention: MASAK publishes asset-freezing decisions. Relocating a founder or routing a payment through Türkiye does not replace these checks.
A name-list search alone does not resolve ownership, control or restrictions on services and goods.
Apostilles: establish the destination requirement first
The HCCH status table records the Apostille Convention in force for Türkiye from 29 September 1985 and the UK from 24 January 1965. Both countries ratified the Convention.
For a UK company certificate requested in Türkiye, ask the receiving institution whether it requires an original or certified copy, a paper apostille or accepted electronic version, and a Turkish translation.
The UK Legalisation Office checks signatures, stamps or seals and attaches an apostille to eligible UK documents. It does not legalise Turkish-issued documents; those follow the issuing country's process.
An apostille authenticates the relevant signature or seal, not a company's suitability for an account.
Accounts, export proceeds and goods
Treat account eligibility as a separate decision from formation. Review the proposed provider's requirements against your actual owners, residence, activity and expected transactions before building the business around it.
Within the agreed service scope, we help prepare and submit a WorldFirst application; WorldFirst decides eligibility, available currencies and payment routes to Türkiye, and opening an account is not guaranteed.
For Turkish goods exports, identify the exporter and keep the commercial invoices, customs declaration and payment trail consistent. The Ministry of Trade's English export guidance explains declaration to customs and export controls.
A UK invoice does not remove those procedures.
The TCMB Export Circular sets a general maximum of 180 days from actual export for bringing proceeds back, with exceptions and special arrangements, and defines the export proceeds acceptance certificate (İBKB).
Before changing the invoicing entity or collection account, ask the Turkish bank to classify the transaction, identify applicable deadlines and exceptions, and confirm any conversion requirement. Do not apply goods-export rules automatically to software or consultancy receipts: their treatment needs its own review.
Tax and continuing UK filings
Article 3 of Türkiye's Corporate Tax Law No. 5520 distinguishes companies with a legal or business centre in Türkiye from those with both centres abroad.
Managing a UK company from Türkiye therefore warrants review, alongside any Turkish establishment and the founder's personal tax position. The UK–Türkiye double taxation agreement entered into force on 26 October 1988.
It is not a blanket exemption: an adviser must apply its residence, establishment and relief provisions to the facts. Plan annual accounts and confirmation statements for Companies House.
A Company Tax Return is required when HMRC issues a notice to deliver one, even if there is a loss or no Corporation Tax payable. Dormancy and tax-return requirements must not be treated as interchangeable.
A hypothetical document journey
Elif, a developer based in Izmir, considers a UK Ltd for overseas contracts. She compares her issued passport's name fields with her bank statement, asks the ACSP to resolve any mismatch, and reviews management and invoicing with a Turkish accountant.
If a Turkish institution later requests her UK company certificate, she obtains its exact certification and translation requirements before ordering an apostille. This is an illustration, not a client result.

FAQs for UK formation from Turkey
Can I be a director while living in Türkiye?
Yes, subject to director eligibility and identity checks; UK residence is not required. Managing the business from Türkiye still calls for a Turkish tax and registration assessment, which UK incorporation does not replace.
Do software receipts follow the goods-export repatriation deadline?
Do not automatically apply the TCMB goods-export timetable to software subscriptions or consultancy payments. Ask your Turkish bank to classify the receipts under the relevant goods or services rules before assigning a deadline or conversion requirement.
What if I am not a Turkish citizen?
Eteform supports ACSP verification for all nationalities, including chipless passports, with valid documents and sufficient identity evidence. Your nationality, residence and business connections still require individual sanctions and service checks; support does not guarantee eligibility or approval.
Should I replace Turkish letters myself?
Compare the visible name fields and MRZ on your issued passport rather than inventing a simplified spelling. Ask the checker to settle any difference between those fields and your supporting evidence before the application is filed.
Is an apostille always needed?
Only obtain one when required for the intended use: UK-issued documents follow the UK process, while Turkish-issued documents follow Türkiye's. Confirm the recipient's copy, apostille and translation requirements first to avoid paying for unnecessary or incorrectly prepared documents.
Does the tax treaty mean no Turkish tax?
No: the treaty coordinates taxing rights and relief rather than exempting every UK company from Turkish tax. An adviser must examine actual management, the income concerned, any Turkish establishment and the relevant company and personal residence positions.
