Forming a UK company from France: a practical guide for founders

Country results

Country pages

A product consultant in Lyon, a technical contractor in Annecy, and a French national still delivering work from France face different pressures. Start with the operating picture: which entity signs contracts, where the work is performed, who owns the IP, and which account receives the fees? A UK private limited company can support international contracting; it does not rewrite where you work or replace a French registration your activity already requires. Eteform supports remote UK formation and identity verification. Compare packages and identity verification. Formation does not guarantee a bank or payment account, French tax clearance or immigration rights.

Can you form a UK Ltd from France?

Yes. You can form a UK Limited company from France remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

A UK Ltd is not a SIREN, SIRET or French company

A UK Ltd is registered with Companies House. In France, creation, modification and cessation formalities for every legal form run through the online guichet des formalités des entreprises.

This guichet unique replaced the former centres de formalités des entreprises on 1 January 2023 and is operated with INPI (Service-Public; INPI).

Filings go via formalites.entreprises.gouv.fr. SIREN (nine digits) identifies the enterprise; SIRET (fourteen digits: SIREN plus a five-digit NIC) identifies each establishment.

Both sit in Insee’s Sirene directory after an accepted French immatriculation: SIREN/SIRET and Sirene. INPI runs the formalities portal; it does not issue French company numbers from a UK certificate.

A UK Ltd does not allocate a SIREN or SIRET, create a French micro-entreprise, EI, SASU or SARL, or register a French branch. Remote UK contracting does not mean every founder must open a French micro-entreprise, EI, SASU or SARL.

Those forms—including entreprise individuelle with the micro-entreprise regime, EURL, SASU, SARL and SAS—have their own tax and social consequences: legal forms.

If you already trade in France, map how the UK company relates to that status before moving contracts, and ask an expert-comptable about registration and invoicing.

Directors may live abroad, but the company needs an appropriate physical registered office in its UK registration jurisdiction: company address.

A correspondence address does not prove management there; a French professional address is not a substitute for that UK office.

Passport names: keep French diacritics as issued

Use the name fields on your issued passport, including accents such as é, è, à, ô, û and ç, and compare them with the machine-readable zone (MRZ). Do not invent an “English name” by stripping accents. If the visible line and the MRZ differ, show both to the checker before filing.

Explain spelling or name-change differences with evidence, not by editing a document image. The Companies House verification standard confirms name and date of birth; it has no French-letter conversion rule.

Identity checks and documents

Prepare for review: passport and clear identity evidence; full and former names, date of birth, home address, the previous 12 months’ address history and your own email; supporting documents the checker requests; and proposed directors, shareholders, share allocation, people with significant control, plus a clear account of the business, place of work and customers.

An Authorised Corporate Service Provider (ACSP) must meet Companies House’s verification standard. Manually checked route: two Group A photographic documents, or one Group A plus one Group B; non-UK residents need at least one government-issued document. Confirm the combination before ordering translations.

A non-biometric passport is a reason to discuss the route, not a promise of acceptance. Eteform supports ACSP verification for all nationalities, including chipless passports, subject to valid documents, sufficient evidence and required checks, without guaranteeing success.

Ordinary UK compliance screening applies to owners, controllers, activity and payment routes; support does not guarantee acceptance.

Apostilles: ask the recipient first

The HCCH status table records the Apostille Convention in force for France and the United Kingdom from 24 January 1965 (both by ratification).

If a French recipient requests your UK company certificate, ask whether it needs an original or certified copy, a paper or accepted electronic apostille, and a French translation.

The UK Legalisation Office apostilles eligible UK documents, including certain Companies House certificates, and cannot legalise French-issued documents.

French public documents for use abroad follow the current competent-authority route on Service-Public—metropolitan practice uses regional notarial apostille centres, not a single city office.

An apostille authenticates a signature or seal, not banking eligibility or tax residence.

Accounts, cross-border receipts and VAT wording

Treat account eligibility as separate from formation. Review the provider’s requirements against your owners, residence, activity and expected transactions before building around it.

Within agreed scope we help prepare and submit a WorldFirst application; WorldFirst decides eligibility, currencies and France-related routes—no account guarantee. Cross-border consultancy receipts are not one automatic VAT story.

French invoice rules distinguish sellers, clients and regimes: mandatory mentions.

Under franchise en base de TVA, invoices may use the statutory non-applicability wording rather than collecting French VAT; other cases charge or reverse-charge on the facts.

Intra-EU B2B and B2C services follow different place-of-supply rules: intra-EU services. Do not assume every invoice is cleanly zero-rated—ask a French tax adviser.

Tax, social contributions and UK filings

French tax residence, social contributions and any permanent-establishment analysis turn on where you live and where the activity is carried on, not on UK incorporation alone. See impots.gouv.fr; we do not prescribe a UK-parent structure.

Independent workers with cross-border situations should check CLEISS and URSSAF / mon-entreprise guidance. UK incorporation is not an automatic French tax holiday or social-contribution waiver.

The UK–France double taxation convention (2008 text, in force 18 December 2009, as modified by the Multilateral Instrument) coordinates taxing rights and is not a blanket exemption. Plan Companies House accounts and confirmation statements.

A Company Tax Return is required when HMRC issues a notice to deliver one, even on a loss or with no Corporation Tax payable.

A hypothetical document journey

Camille, a product consultant based in Lyon, considers a UK Ltd for overseas retainers while keeping any French registration in view.

She matches the accented name on her issued passport with her bank statement, asks the ACSP to resolve any MRZ mismatch, and reviews with an expert-comptable where the work is performed, which entity should invoice, and whether French VAT wording or an intra-EU reverse charge applies.

If a French body later requests her UK certificate, she confirms certification and translation needs before an apostille. This is a labelled hypothetical, not a client result.

FAQs for UK formation from France

Can I be a UK director while living in France?

Yes, subject to director eligibility and identity checks; UK residence is not required. Work from France still needs French tax, social and registration review.

Does a UK Ltd give me a SIREN or SIRET?

No. Those French identifiers arise through French formalities and Sirene—Companies House registration is a different legal event.

Must every invoice show French VAT or be zero-rated?

No. Treatment depends on regime, client status and location, including franchise en base, B2B reverse charge or B2C rules.

What if my passport has accents but the MRZ does not?

File from the issued passport and show both forms to the checker. Do not strip accents yourself.

Is an apostille always required?

Only when the recipient asks for one. Confirm copy type, paper or electronic form, and translation first. UK documents use the UK Legalisation Office; French-issued documents use the French competent authority.

Does the UK–France tax treaty mean no French tax?

No. It allocates taxing rights and relief; residence, place of work, permanent establishment and income still need a fact-based review.
