Form a UK company from Nigeria: start with how your business really works

Country results

Country pages

A Lagos software studio billing European clients, an Abuja consultant advising international organisations and a digital agency running campaigns for UK brands may all ask the same question: should we have a UK Ltd? The answer depends on where the work is done, who owns and manages the company, who the customers are and how money moves. A UK private company limited by shares is a separate legal entity that can sign contracts and issue invoices. It does not replace Nigerian registration where your activity needs it, it does not change your personal tax residence, and it does not guarantee a bank or payment account.

Can you form a UK Ltd from Nigeria?

Yes. You can form a UK Limited company from Nigeria remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

Which Nigeria-based founder are you?

Software, SaaS and digital agencies: If developers work from Lagos or Abuja while the UK company contracts with clients, decide how the team is engaged: as contractors, through a Nigerian entity, or otherwise. Agree this before signing client contracts.

Consultants and professional services: A UK company gives overseas clients a clear contracting party. Clients and financial providers may still ask where the service is performed and who controls the company, so describe it accurately from the start.

Goods exporters: Selling Nigerian-made products abroad remains a Nigerian export. Under the CBN Foreign Exchange Manual, exports are processed on Form NXP through an authorised dealer bank, with proceeds credited to an export domiciliary account. A UK company invoicing the buyer does not remove those obligations.

UK Ltd, CAC registration or both?

The Corporate Affairs Commission registers Nigerian companies, business names and incorporated trustees under the Companies and Allied Matters Act 2020. A business name is a registered trading name, not a separate company; a Nigerian limited company is a distinct legal person.

Neither is created by a UK certificate. If you trade locally, hire staff in Nigeria or need a Nigerian contracting party, consider a Nigerian registration as well; sector licences apply only where your activity is regulated.

Incorporation is not immigration

UK rules allow directors to live outside the UK, but the company needs an appropriate UK registered office and a monitored email address. Being a shareholder or director gives no UK visa, residence or right to work.

Documents and identity verification

Prepare a valid passport for each director and person with significant control, plus recent proof of your residential address, written in full with street, area, local government area where relevant and state. Use your name exactly as in your passport.

If a bank statement or utility bill shows a different order, a middle name or an abbreviation, flag it and keep supporting evidence; never edit a document.

Companies House requires directors and PSCs to verify their identity, and an authorised corporate service provider (ACSP) can verify you from any country using documents from an approved list. Your passport is the primary document.

Do not assume a NIN slip or BVN alone satisfies the identity route; a verifier or provider may still accept one as supporting evidence. Eteform supports the ACSP route remotely for all nationalities, including passports without an electronic chip, subject to document checks.

Additional evidence may be requested and approval is not guaranteed. See our identity verification service.

Legalisation: Nigeria is not an Apostille Convention party

Nigeria does not appear on the HCCH Apostille status table.

For a UK document, such as a Companies House certificate, the FCDO Legalisation Office attaches an apostille; it handles UK-issued documents only. A Nigerian authority may then require a further step, so ask the receiving body before ordering.

For Nigerian civil documents such as birth or marriage certificates, the Nigeria High Commission in London states that they must first be authenticated by the Ministry of Foreign Affairs in Abuja. Authentication confirms a signature or seal, not the content.

Money flows: what the CBN Manual actually says

The CBN Foreign Exchange Manual, 4th Edition lists ICT and digital services and professional and business services as service exports.

Banks must capture these receipts, recorded with service invoices, contracts and evidence of the foreign-exchange inflow. In practice, if you are paid personally or through a Nigerian entity for work done in Nigeria, keep contracts and invoices that match each inflow.

The Manual sets out who may hold a domiciliary (foreign-currency) account, so check your eligibility with your bank; when you transfer to third parties, you state the purpose. Where your UK company is the party paid, define in writing how the Nigerian team or entity is paid by it.

Tax: two systems, separate questions

Nigeria: The Nigeria Tax Act 2025 applies from 1 January 2026.

It defines a "Nigerian company" to include a company whose central or effective place of management or control is in Nigeria, wherever it was incorporated, and such a company's profits are taxable in Nigeria wherever they arise.

A UK Ltd whose directors make its key decisions in Lagos may therefore be treated as a Nigerian company. Resident individuals are taxable on worldwide income.

The Nigeria Revenue Service, established by the Nigeria Revenue Service (Establishment) Act 2025, has taken over the functions of the former FIRS; state tax authorities remain separate. UK: A UK-incorporated company is generally UK tax resident.

It must keep records and file accounts, confirmation statements and company tax returns. Treaty: A UK–Nigeria double taxation agreement is in force. It helps allocate taxing rights and resolve dual residence, but it is not an automatic exemption.

Take this to a Nigerian tax adviser before you incorporate.

Banking, payments and compliance checks

Our packages include help with a WorldFirst business-account application within the agreed scope. We do not promise that WorldFirst or any bank accepts a particular Nigeria-based case: providers assess residence, business model, customers and source of funds, and decide independently.

Ask us about your case before paying. See current packages. Like any provider, we screen named directors, shareholders and beneficial owners against sanctions lists. This is a check on the people and ownership involved, not on nationality.

A hypothetical example

A two-person Lagos team builds web apps for Dutch and UK startups. Before incorporating, they decide where board decisions will be taken, which company signs client contracts and how the developers are paid.

They take the residence question to a Nigerian tax adviser, keep invoices that match each payment, and confirm account eligibility before relying on any account.

FAQs for UK formation from Nigeria

Do I need a business name or a company at CAC as well?

Only if your activity calls for it. A business name is a registered trading name; a Nigerian company is a separate legal entity. Neither replaces, or is replaced by, a UK Ltd.

Can I verify my identity with my NIN slip or BVN?

Do not assume either one alone is enough; use your passport. A verifier may accept a local record as supporting evidence.

If I manage the UK company from Lagos, where is it taxed?

It may be treated as resident in both countries if its central or effective management is in Nigeria. That does not automatically mean paying tax twice: the UK–Nigeria treaty and double-tax relief may apply. Get advice before you incorporate.

Which documents do I need for a Nigerian bank to record my service income?

Keep the service contract, the invoice and evidence of the incoming transfer. The CBN Manual lists these as the key records for service-export receipts.

Will a Nigerian authority accept my UK certificate with an apostille?

Ask the receiving body first. Nigeria is not an Apostille Convention party, so an additional step may be required.

Can you guarantee a business account?

No. We help with the application within the agreed scope; the provider decides and may request documents or decline.
