Form a UK company from the Philippines: start from where you work and live

Country pages

A developer in Cebu billing a European agency, a Manila support team serving an overseas client, or a Filipino professional working abroad may each consider a UK private company limited by shares. Their situations differ. (Hypothetical examples only—not client stories or promised outcomes.) A UK Ltd can hold contracts and issue invoices. It does not replace Philippine registration, settle Philippine tax, or guarantee a business account. Eteform starts with what you sell, where the work is done, where owners live, and how money moves. This page is general information, not personal tax or legal advice.

Can you form a UK Ltd from the Philippines?

Yes. You can form a UK Limited company from the Philippines remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

A UK Ltd is not a Philippine business registration

If you trade locally as a sole proprietor under a name other than your own, register that business name with the DTI Business Name Registration System. That path is for individuals—not a way to register a foreign UK company in the Philippines.

Local corporations and partnerships register with the SEC. If a foreign company will actually operate or do business in the Philippines, Philippine company law can require an SEC licence and related authority before local trading—ask a Philippine adviser whether your plans trigger that.

Forming a UK Ltd for overseas contracts does not, by itself, mean every founder needs a Philippine foreign-company licence. A UK company can still suit software, design, digital marketing or remote support for overseas clients when you want a clear contracting entity.

Expanding services to existing clients through a company is a normal commercial reason; it does not decide where the work is taxed. UK rules allow directors to live abroad, with an appropriate UK registered office.

Shares or a directorship are not a UK visa, residence or work right, and incorporation is not a Philippine sector permit. Before you apply, note who owns the shares, who runs the company day to day, and who will handle filings and accounting.

Clear answers help advisers and providers later; they do not guarantee any approval.

Tax and money movement in brief

Philippine income-tax principles in the National Internal Revenue Code (LawPhil text of RA 8424, Section 23) turn on residence and source of income—not on a UK company address. A Philippine adviser should confirm how current rules apply to you.

In outline: - A resident Philippine citizen is generally taxed on worldwide income. - A nonresident citizen (including many OFWs who meet the legal tests of presence and intent abroad) is generally taxed only on Philippine-source income—nationality alone is not enough.

- A foreign national (alien), whether living in the Philippines or not, is generally taxed only on Philippine-source income—not under the resident-citizen worldwide rule. Income earned while you work from the Philippines is not automatically exempt because the invoice is British.

Register with the BIR where required, and ask about salary, dividends and managing a UK company from the Philippines. The UK–Philippines tax treaty can allocate taxing rights; it is not automatic relief.

A UK-incorporated company is usually UK tax resident and still needs UK records and filings.

On foreign exchange, the BSP Manual of Regulations on Foreign Exchange Transactions (updated May 2025) allows residents, in broad terms, freer use of foreign-exchange receipts from non-trade sources (sell for pesos, retain, or deposit in foreign-currency accounts).

That freer use does not cancel bank document requests or tax rules. Ask your bank how inbound payments are converted or settled before you promise clients a collection path. A UK account does not replace Philippine banking practice.

Documents and identity

Use passport names exactly. If PSA records show a different middle name, maiden name or spelling, say so early—do not edit documents to force a match. Most Philippine public documents are already in English and need no translation unless the recipient asks for another language.

Companies House requires identity verification for directors and people with significant control. Remote verification through an authorised corporate service provider (ACSP) is available from any country.

Eteform supports that route for all nationalities, including passports without a readable chip, subject to document checks—approval is not guaranteed. Philippine ePassports usually have a chip; if a read fails, other checks may apply. A PhilID may support a file but is not promised for every step.

See identity verification.

Apostilles when a recipient asks

The Apostille Convention applies to the Philippines from 14 May 2019.

The UK and the Philippines are both parties on the HCCH status table, and the UK is not listed as objecting to the Philippine accession, so covered public documents can use apostilles between the two countries.

Philippine documents for use in the UK are apostilled by the DFA Authentication Division (HCCH competent authority). UK documents for use in the Philippines go through the UK legalisation service.

An apostille confirms a signature or seal, not the content. Ask the recipient first—many formation and banking steps need none.

Banking: application help, not approval

Check current packages for the account service included. Where applicable, we help prepare and submit a WorldFirst application. The provider decides eligibility, routes and approval; we give no Philippines-locale guarantee. Confirm suitability with us before paying.

A business account and a payment gateway are separate products—approval of one does not secure the other. Nationality alone is neither a privilege nor an exclusion.

FAQs for UK formation from the Philippines

Can I put a UK Ltd on DTI as my business name?

No. DTI business names are for Philippine sole proprietors. Local companies go through the SEC. Ask an adviser only if you will actually operate the foreign company inside the Philippines.

I'm an OFW abroad. Am I automatically a nonresident citizen for tax?

Not automatically. Nonresident-citizen treatment depends on legal tests about living and working abroad, not on being Filipino alone. Confirm with a Philippine adviser before assuming Philippine-source-only tax.

I'm a foreign national living in the Philippines. Am I taxed like a resident Filipino citizen on worldwide income?

Generally no. Alien individuals are taxed on Philippine-source income under the outline in Section 23—not under the resident-citizen worldwide rule. Still get local advice for your facts.

Must my Philippine passport chip read perfectly for identity verification?

No. We support verification for all nationalities, including where a chip cannot be read, subject to document checks. Approval is not guaranteed.

Will I definitely get a WorldFirst account?

No. We assist with the application; the provider decides eligibility and available services for Philippines-resident owners.

Do I always need an apostille to form the company or open an account?

No. Use an apostille only when a recipient requires a public document from the other country. Confirm with that recipient before you legalise anything.
