Forming a UK company from Australia: start from where the work is done

Country results

Country pages

A Melbourne software contractor billing overseas clients, a Sydney ecommerce seller with local stock, and a Brisbane consultant serving only UK customers may all consider a UK private limited company. Their Australian questions differ. A UK certificate answers none of them on its own. A UK Ltd can sign contracts and issue invoices. It does not create an Australian Business Number (ABN), does not replace ASIC company or foreign-company registration where Australian law requires it, and does not settle where the company is taxed when decisions or work take place in Australia. Eteform starts with where you live, where decisions are made, who your clients are and how money moves. Compare the current packages and identity verification before you pay. This page is general information, not personal tax or legal advice.

Can you form a UK Ltd from Australia?

Yes. You can form a UK Limited company from Australia remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

ABN and TFN are not passport substitutes

An ABN identifies a business to government and the community. Entitlement is separate from holding a passport. The Australian Business Register warns that applying when you are not entitled can lead to prosecution.

A tax file number (TFN) is a tax identifier used with the ATO. Providing a TFN on an ABN application can speed processing, but it is not required by law and is not a passport substitute where proof of identity is needed.

For non-residents, the ABR’s proof-of-identity rules treat a foreign passport as a primary identity document—not as an automatic ABN. None of these Australian numbers replaces the Latin-script name on your issued passport for Companies House.

Enter that name exactly, compare it with the machine-readable zone, and flag differences with Australian licences or bank statements early. Never edit a document image to force a match.

ASIC: sole trader, Pty Ltd and foreign company are different paths

ASIC registers Australian companies. Sole traders, partnerships and trusts do not register as companies.

A proprietary limited company (Pty Ltd) is a separate Australian company with Australian addresses, officeholders and Corporations Act obligations—a UK certificate does not complete those steps. A company registered outside Australia is a foreign company.

ASIC states that foreign companies must register with ASIC to conduct business in Australia and then receive an Australian Registered Body Number (ARBN).

If instead an Australian subsidiary conducts the local business and the foreign company itself does not carry on business in Australia, ASIC notes foreign-company registration is not required.

Forming a UK Ltd for overseas contracts does not, by itself, force every Australian-resident founder to lodge Form 402—ask an Australian adviser about your facts. ABN, GST, Pty Ltd or foreign-company filings stay with a local adviser; they are not in this UK package.

Tax residence — facts, not labels

ATO residency guidance treats a company as Australian-resident if it is incorporated in Australia, or—if foreign-incorporated—it carries on business in Australia and has either central management and control in Australia or voting power controlled by Australian-resident shareholders.

TR 2018/5 and PCG 2018/9 explain central management and control as high-level control and direction of the company’s operations, assessed on the facts—not day-to-day administration alone.

Living in Australia as a director does not automatically make every UK company an Australian tax resident or create a permanent establishment.

The UK–Australia tax treaty collection has residence and PE rules; this page does not decide your outcome.

A founder’s personal tax residence is separate from the company’s—review the facts with an independent Australian tax adviser before you incorporate.

GST: connection with Australia

Whether Australian GST applies depends on sales connected with Australia and on registration rules for the enterprise—not on invoices merely issuing from a UK Ltd.

See the ATO on how Australian GST works for non-resident businesses and cross-border B2B GST.

Do not assume every offshore invoice is outside GST, and do not invent a rate or turnover threshold from memory—read the current ATO pages with your adviser. Any GST registration is an Australian step outside this UK package.

Directors, UK registered office and work rights

UK company directors may live outside the UK, but the company still needs an appropriate physical UK registered office.

Australian residence is not a Companies House requirement. A UK company creates neither Australian residence nor a right to work, and a directorship grants no UK visa. Local sector licences are not replaced by a UK certificate.

Apostilles between the UK and Australia

The UK and Australia are both parties to the Apostille Convention. UK documents go through the FCDO legalisation service.

Australian public documents use DFAT apostilles via Australian Passport Offices in capital cities (Smartraveller lodging detail); the HCCH Australia notice also records that some Australian missions abroad can issue apostilles on Australian public documents.

Ask the recipient first. Authentication confirms a signature or seal, not the content—and is not automatic for every filing.

Identity verification for Companies House

Companies House requires directors and people with significant control (PSCs) to verify their identity. Link the verified identity to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies.

Not every shareholder is automatically a PSC. An authorised corporate service provider (ACSP) can verify people in any country. Eteform supports that route for all nationalities, including passports without a chip, subject to document checks—approval is not guaranteed. An ABN or TFN is not a passport substitute.

Hypothetical example (fictitious)

Jordan, an imaginary product designer in Melbourne, wants to contract with European studios through a UK Ltd while living in Australia.

Before incorporating, Jordan asks an Australian tax adviser about company residence or permanent-establishment risk from decisions made in Melbourne, whether any ABN, GST or ASIC step fits the local facts, and how Australian versus overseas invoices should be treated—then chooses between a UK Ltd, an Australian Pty Ltd or another path.

This illustrates a process, not a client case or promised result.

FAQs for UK formation from Australia

If I manage my UK Ltd from Sydney, is it taxed in Australia?

It might be, depending on the facts. The ATO looks at whether a foreign-incorporated company carries on business in Australia with central management and control (or Australian-controlled voting power) there.

A director living in Australia does not automatically make every UK company an Australian taxpayer or create a permanent establishment. Get independent Australian tax advice before you incorporate.

Does a UK Ltd give me an ABN or replace a Pty Ltd?

No. An ABN is an Australian business identifier with its own entitlement rules. A Pty Ltd is an Australian company on the ASIC register. A UK Ltd is neither.

Can I use my passport instead of a TFN when dealing with the ABR?

A foreign passport can be primary proof of identity for non-resident ABN paths, but it does not automatically create ABN entitlement and is not a TFN. Do not treat passport, TFN and ABN as interchangeable.

Do I need to register my UK company as an ASIC foreign company?

Only if you will conduct business in Australia as a foreign company under Australian rules. Registration as a foreign company is a specific path with an ARBN; an Australian subsidiary can be a different path. Forming a UK Ltd for overseas work does not by itself decide the answer—get Australian advice on your facts.

Does a document between Australia and the UK need consular legalisation?

For covered public documents, an apostille from the competent authority replaces consular legalisation. Australian apostilles go through DFAT / Passport Office channels; UK documents use the FCDO service. Confirm with the recipient before you order.

Does WorldFirst approval come with the package?

No. Where WorldFirst is in your package, we help with the application. The provider decides eligibility and available services. Check the current packages for what is included.
