A São Paulo software contractor billing overseas clients, a Rio ecommerce seller with local stock, and a Belo Horizonte consultant serving only non-Brazilian customers may all consider a UK private limited company. A São Paulo invoice, a Rio stock sale and a Belo Horizonte overseas retainer are not the same file. The UK certificate can sign and bill. It does not answer the Brazilian register or tax question by itself. It does not create a CPF or CNPJ, does not enrol you in Simples Nacional or MEI, and does not by itself settle Brazilian tax when work or control sits in Brazil. Eteform asks which Brazilian city you live in, where decisions are made, who the clients are and how reais would move. See the current packages and identity verification before you pay. This is general information, not a personal Brazilian tax opinion.
Can you form a UK Ltd from Brazil?
Yes. You can form a UK Limited company from Brazil remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.
CPF and CNPJ are Brazilian identifiers — not UK identity proof
A CPF (Cadastro de Pessoas Físicas) is Brazil’s individual taxpayer register. Receita Federal states that Brazilians and foreigners may enrol, in Brazil or abroad, and that the number is unique and permanent.
A CPF is not a passport substitute for Companies House and is not compulsory for UK company formation or ACSP identity checks.
A CNPJ (Cadastro Nacional da Pessoa Jurídica) identifies a legal entity to the Brazilian tax and registration system. It is not UK identity evidence. Never treat a CNPJ extract as proof of who you are for Companies House.
Enter your name exactly as on the Latin-script data page of your issued passport. Compare it with the machine-readable zone. Flag differences with Brazilian RG, CNH or bank statements early; never edit a document image to force a match.
Foreign company in Brazil, Brazilian company, or UK Ltd?
Opening a UK Ltd for overseas contracts is not the same as creating a Brazilian company at a Junta Comercial through Redesim, and it is not the same as registering a foreign legal entity that must hold a CNPJ for Brazilian assets or operations.
Receita Federal guidance for pessoas jurídicas domiciliadas no exterior lists situations in which a foreign legal entity must obtain a CNPJ — for example holding Brazilian real estate, vehicles, vessels, aircraft or bank current accounts, or certain investment, financing or leasing operations that also engage Banco Central’s Cadastro Declaratório de Não Residente (CDNR).
First-establishment requests go through FCPJ event 107 on Redesim, with analysis by the competent registration body (Junta Comercial, RCPJ or OAB where integrated) or by Receita via e-CAC.
Banco Central’s FAQ aligns with that split. Forming a UK Ltd does not, by itself, force every Brazil-resident founder into foreign-company CNPJ registration.
Whether you need a Brazilian Ltda, a branch-style foreign registration, only a CPF, or no Brazilian corporate enrolment depends on what you actually do in Brazil — ask a Brazilian adviser. Local municipal licences, state registrations and Simples/MEI eligibility are Brazilian steps outside this UK package.
A UK certificate does not make a foreign company eligible for Simples Nacional.
Tax and exchange: facts in Brazil, certificate in the UK
Brazilian income tax, municipal service tax and any permanent-establishment analysis turn on where you live, where the company is managed and what is done in Brazil — not on the UK certificate alone. Living in Brazil as a director does not automatically make every UK company a Brazilian taxpayer.
Personal tax residence is separate from the company’s position.
The GOV.UK Brazil tax treaties hub currently lists sectoral shipping and aircrew agreements in force and a 2022 comprehensive double taxation convention that is not in force — do not assume broad treaty relief.
Review the facts with an independent Brazilian tax adviser before you incorporate. Cross-border payments involving Brazil run through the regulated foreign-exchange market.
Banco Central FAQ material expects FX operations with institutions authorised to operate in that market; those institutions may request supporting documents under their risk rules.
A UK Ltd does not bypass Brazilian FX compliance when reais cross the border. Brazilian digital certificates (ICP-Brasil / e-CNPJ style) support Brazilian electronic filings — they are not Companies House identity verification.
Directors, UK registered office and work rights
A director may live in São Paulo or Rio. UK guidance does not require a UK home. The company still needs a real UK registered office.
Living in Brazil is not a Companies House condition. A UK company creates neither Brazilian residence nor a right to work, and a directorship grants no UK visa.
For Brazilian public documents, HCCH records that the Judiciary supervises notarial activity and that legal, notarial and registration authorities issue apostilles; the National Council of Justice (CNJ) coordinates the network and publishes authorised cartórios by state and city.
Ask the recipient which Brazilian document and which cartório path they need. Authentication confirms a signature or seal, not the content — and is not automatic for every filing.
Identity verification for Companies House
Companies House requires directors and people with significant control (PSCs) to verify their identity. Link the verified identity to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies.
Not every shareholder is automatically a PSC. An authorised corporate service provider (ACSP) can verify people in any country. Eteform supports that route for all nationalities, including passports without a chip, subject to document checks — approval is not guaranteed. A CPF or CNPJ is not a passport substitute.
Banking: help with the application, not a guarantee
If your package includes WorldFirst, the help is preparing and sending that application. WorldFirst decides eligibility, currencies and routes, and it may ask for more papers or refuse. Living in Brazil is not an account promise. The current packages show what is included.
Hypothetical example (fictitious)
Marina, an imaginary product designer in São Paulo, wants to contract with European studios through a UK Ltd while living in Brazil.
Before incorporating, Marina asks a Brazilian tax adviser about company or permanent-establishment risk from decisions made in São Paulo, whether any CPF-only path, Brazilian Ltda, foreign-entity CNPJ or municipal licence fits the local facts, and how Brazilian FX rules treat inbound client payments — then chooses between a UK Ltd, a Brazilian company or another path.
Marina is not a client, and this sketch is not a promised Brazilian result.

FAQs for UK formation from Brazil
If I manage my UK Ltd from São Paulo, is it taxed in Brazil?
It might be, depending on the facts — where decisions are taken, what activity happens in Brazil and how Brazilian tax rules apply to you and the company. A director living in Brazil does not automatically make every UK company a Brazilian taxpayer. Get independent Brazilian tax advice before you incorporate.
Does a UK Ltd give me a CNPJ or replace a Brazilian company?
No. A CNPJ is a Brazilian legal-entity identifier with its own enrolment rules. A Brazilian company is formed through Brazilian registration channels such as Redesim / Junta Comercial. A UK Ltd is neither.
Is my CPF enough for Companies House identity checks?
No. Use the Latin-script passport name and passport evidence. A CPF is a Brazilian individual taxpayer number; it is not a passport substitute and is not compulsory for UK formation checks.
Do I need to register my UK company as a foreign entity with a Brazilian CNPJ?
Only if your Brazilian facts fall within the situations Receita Federal and, where relevant, Banco Central describe — for example holding certain Brazilian assets or carrying out listed investment or financing operations.
Forming a UK Ltd for overseas work does not by itself answer it — get Brazilian advice on your facts.
Do documents between Brazil and the UK still need consular legalisation?
For covered public documents, an apostille from the competent authority replaces consular legalisation. Brazilian apostilles are issued through the CNJ-supervised cartório network; UK documents use the FCDO service. Confirm with the recipient before you order.
Does WorldFirst approval come with the package?
No. Where WorldFirst is in your package, we help with the application. The provider decides eligibility and available services. Check the current packages for what is included.
