Forming a UK company from Italy: a practical guide for founders

Country pages

A freelance developer in Milan invoicing EU clients, an ecommerce operator in Bologna selling digital goods, and a non-UK director managing retainers from Rome face different pressures. For a Milan invoice, a Bologna digital sale or a Rome retainer, name the signer first: the UK company, an Italian sole-trader form, or a partita IVA. Note where the work is done, who owns the code or the brand, and which account is paid. The UK company can hold the foreign contract. It leaves the Italian workplace where it is, and it does not stand in for an Italian registration the work already needs. Eteform supports remote UK company formation and identity verification. Compare packages and identity verification. Formation does not guarantee a bank or payment account, Italian tax clearance or immigration rights.

Can you form a UK Ltd from Italy?

Yes. You can form a UK Limited company from Italy remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

A UK Ltd is not a ditta individuale, an impresa or an Italian p.IVA

A UK Ltd is registered with Companies House. In Italy, a natural person who carries on a professional activity that does not require inscription in the Registro delle Imprese (or REA) typically opens, varies or closes a partita IVA with the Agenzia delle Entrate using modello AA9/12.

Where the activity is an impresa or artigianale activity that must be entered in the Registro delle Imprese or REA, Italian guidance directs founders to Infocamere’s Comunicazione Unica d’impresa, which handles the partita IVA steps together with chamber registration: Agenzia delle Entrate — Partita IVA persone fisiche and Registro Imprese.

A UK Ltd does not allocate an Italian partita IVA, create a ditta individuale, enrol you in the Registro Imprese, or register an Italian branch.

Plain Italian terms matter: impresa individuale / ditta individuale describe Italian sole-trader business forms; partita IVA is the VAT/tax identifier opened through the Italian channels above. Remote UK contracting does not mean every founder must open an Italian p.IVA.

Whether Italian local registration or social-contribution questions arise depends on where and how you actually work—not on Companies House incorporation alone. Ask an Italian commercialista before changing contracts or assuming Italian enrolments.

Eteform does not provide Italian local registration, INPS enrolment or gestione separata filings. Living in Milan or Rome is compatible with being a director. UK guidance does not demand a UK home.

What the company must have is a physical registered office in its UK registration area: company address. A studio address in Italy is a different thing.

Passport names and Codice Fiscale

Use the name fields on your issued passport, including accents and particles as printed, and compare them with the machine-readable zone (MRZ). Do not invent an “English name” by stripping accents. If the visible line and the MRZ differ, show both to the checker before filing.

The Companies House verification standard confirms name and date of birth; it has no Italian-letter conversion rule. The Italian Codice Fiscale is a 16-character tax identifier used in dealings with Italian public administrations.

Only a Codice Fiscale issued through the official Agenzia delle Entrate system is valid—not a code generated by unofficial software: Agenzia delle Entrate — Codice Fiscale.

A Codice Fiscale is not a passport and does not automatically replace the photographic identity documents Companies House expects. Bring the combination the ACSP confirms for your route.

Identity checks and documents

Prepare the Italian file in this order: the issued passport, including accents and particles as printed; former names, date of birth, the home address in Italy and the previous twelve months; the extra papers the checker asks for; and the proposed directors, shareholders and people with significant control, plus where the work is done and who the customers are.

A founder in Italy can use Eteform’s ACSP check for any nationality, including a passport that has no chip, and the file can still be refused. The manual set is two photo documents from group A, or one from group A and one from group B, and a person outside the UK includes at least one government document.

The missing chip is only a question about the route. Screening still happens, and help is not an approval. Companies House requires identity verification for directors and people with significant control (PSCs).

Link the verified identity to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies. Not every shareholder is automatically a PSC—rights and circumstances matter.

Apostilles and EU public-document rules

The HCCH status table records the Apostille Convention in force for Italy from 11 February 1978 and for the United Kingdom from 24 January 1965 (both by ratification).

If an Italian recipient requests your UK company certificate, ask whether it needs an original or certified copy, a paper or accepted electronic apostille, and an Italian translation.

The UK Legalisation Office apostilles eligible UK documents, including certain Companies House certificates, and cannot legalise Italian-issued documents. Italian-issued public documents for use abroad follow Italy’s divided competent authorities.

For judicial documents and notarial acts, the public prosecutor (Procura) at the courts where the documents were issued is designated.

For other administrative documents covered by the Convention—and, under the HCCH notification effective from 31 March 2011, for civil-status documents—the territorially competent Prefetto acts (with special arrangements for Valle d’Aosta and the provinces of Trento and Bolzano): HCCH Italy authority.

Between EU authorities, Regulation (EU) 2016/1191 drops the apostille for some personal public documents. A UK Companies House certificate is outside that waiver.

That apostille speaks to the signature or the seal. It says nothing about an Italian bank file or Italian tax residence.

Accounts, cross-border receipts and VAT

An account decision is not the incorporation. Match the provider’s questions to the owners, life in Italy, the work and the payments before you rely on an account. In the agreed service we prepare and send a WorldFirst application. WorldFirst chooses eligibility, currencies and any Italian route.

No account is promised. Italian VAT is not settled because the buyer is abroad or the invoice is in euro.

Eligible B2C services and EU distance sales of goods may use the optional OSS — one Member State registration and one electronic return: Your Europe OSS. The Italian identification and regimes stay with Agenzia delle Entrate.

OSS is a choice. It is not the B2B reverse charge and it is not domestic Italian VAT. Ask an Italian adviser before the invoicing entity changes.

Tax, permanent establishment and UK filings

Italian personal tax residence, local activity registration and any permanent-establishment analysis turn on where you live and where the activity is carried on, not on UK incorporation alone. Mere UK company registration, or a director who lives in Italy, is not by itself an automatic Italian PE conclusion.

Fixed place of business, dependent-agent facts and activity in Italy need Italian professional advice. We do not prescribe a UK-parent structure, and we do not claim automatic INPS, gestione separata or chamber duties from UK formation alone.

Britain and Italy coordinate taxing rights in the UK–Italy double taxation convention: the 1988 text, in force on 31 December 1990. That convention is not a waiver of Italian or UK tax.

Keep the UK company’s yearly accounts and confirmation statement on the Companies House calendar. A notice from HMRC to deliver a Company Tax Return still requires the return when the year is a loss or no Corporation Tax is due.

A hypothetical document journey

Marco, a software contractor based in Milan, considers a UK Ltd for overseas retainers while keeping any Italian partita IVA or chamber status in view.

He matches the accented name on his issued passport with his bank statement, confirms with the ACSP that his Codice Fiscale does not replace the required photographic identity set, and reviews with a commercialista where the work is performed, which entity should invoice, and whether Italian VAT, reverse charge or OSS applies.

If an Italian body later requests his UK certificate, he confirms certification and translation needs before a UK apostille. This is a labelled hypothetical, not a client result.

Plan your application

FAQs for UK formation from Italy

Can I be a UK director while living in Italy?

Yes, subject to director eligibility and identity checks; UK residence is not required. Work from Italy still needs Italian tax and registration review.

Does a UK Ltd give me an Italian partita IVA or ditta individuale?

No. Those arise through Agenzia delle Entrate and, where required, Registro Imprese / Comunicazione Unica channels. Companies House registration is a different legal event.

Can I use my Codice Fiscale instead of my passport for Companies House checks?

Not automatically. The Codice Fiscale is an Italian tax identifier; verification still needs the photographic and government documents your ACSP confirms for the route.

Do I automatically owe INPS or gestione separata because I formed a UK company?

No automatic rule of that kind is stated here. Italian social-contribution questions depend on your activity and status—ask an Italian adviser; Eteform does not file those enrolments.

Who apostilles an Italian public document for use abroad?

It depends on the document type: Procura for judicial documents and notarial acts; Prefetto (with regional exceptions) for other administrative documents and, since 31 March 2011, civil-status documents. UK documents use the UK Legalisation Office.

Does the UK–Italy tax treaty mean no Italian tax?

No. It allocates taxing rights and relief; residence, place of work, permanent establishment and income still need a fact-based review.
