A Leipzig software contractor, a Hamburg marketing agency and a Munich online shop may all consider a UK private limited company. Each faces different questions in Germany. A UK certificate of incorporation answers none of them on its own. A UK Ltd is a separate legal entity that can sign contracts and issue invoices. It does not replace German registrations you may need, and it does not by itself settle where the company is taxed when decisions or work take place in Germany. Eteform starts with where you live, where decisions are made, who your clients are and how money moves. Compare the current packages and identity verification before you pay.
Can you form a UK Ltd from Germany?
Yes. You can form a UK Limited company from Germany remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.
UK incorporation generally makes a company UK tax-resident. German law also looks at the place of management (Ort der Geschäftsleitung). Under § 10 of the Fiscal Code (AO), that place is the centre of top-level business management.
Under § 1 of the Corporation Tax Act (KStG), a corporation with its management or seat in Germany can have unlimited German corporation-tax liability. These are domestic starting points, not an automatic label for every UK company whose director lives in Germany.
The outcome depends on the facts: who decides, where and how, and whether the company is actively run from Germany or is mainly a holding vehicle.
Managing day-to-day trading, staff or client work from Germany raises different tax, legal and local-registration questions from a pure holding arrangement with limited German activity. Dual residence claims are possible on some facts; avoiding them is not automatic either.
The UK–Germany tax treaty collection contains residence and permanent-establishment rules, including rules for companies claimed as resident in both states. Competent authorities can become involved in mutual-agreement cases.
This page does not decide your company's treaty residence or permanent-establishment position. Review the facts with an independent German Steuerberater before you incorporate, and keep board decisions, records and roles consistent with what actually happens.
UK Ltd, German branch, subsidiary or self-employment?
These are different structures with different filings: This page and the UK formation package cover UK company formation and related UK identity checks. German trade, branch or commercial-register filings are verified with a local adviser; they are not handled in this package.
UK Ltd without a German establishment: The company exists on the UK register. Your personal German tax position, and any German permanent establishment created by how the business is actually carried on, still need a German review.
Remote freelancing through a UK Ltd does not by itself mean a German commercial-register filing is required.
German branch of the UK company (Zweigniederlassung): Where a domestic branch is created, § 13d HGB points filings to the local court of the branch's district.
Treat branch registration as an example of a structure that needs German filings, not as a default for every founder who works remotely from Germany. German subsidiary such as a GmbH: A separate German company with its own formation, register entry and obligations.
Freelancer or sole trader: Some activities need a trade registration (Gewerbeanmeldung, § 14 GewO); some liberal professions do not. Your local IHK can offer orientation; the competent municipal and tax offices decide.
EU clients and VAT: no single rule
Whether an invoice carries German VAT depends on who supplies the service, the place of supply (§ 3a UStG), and whether the customer is a business or a consumer.
Reverse-charge rules (§ 13b UStG) can apply. None of this makes every cross-border invoice zero-rated or VAT-free.
A German establishment that needs a VAT identification number applies to the Federal Central Tax Office (BZSt). Check each contract with an adviser.
The German small-business scheme (Kleinunternehmerregelung, § 19 UStG) has its own conditions and was reformed recently. Read the current statute with your adviser rather than relying on older turnover figures.
The scheme applies to the German business it covers. It is not a UK rule.
Separately, living or working in Germany may raise German residence-title questions for non-EU nationals; a UK company does not create German residence or a right to work, and a directorship grants no UK visa.
Official self-employment guidance sits on Make it in Germany. Immigration detail is outside this formation guide—ask a qualified adviser if your personal status needs review.
Passport names, umlauts and identity verification
Enter your name exactly as it appears on the Latin-script data page of your issued passport. Compare that visible line with the machine-readable zone (MRZ).
German passports sometimes show a diacritic form in the visual zone and a different ASCII form in the MRZ; how umlauts or ß appear depends on the document you hold, not on a universal conversion table.
Tell us about any differences between the passport, a registration certificate (Meldebescheinigung) and bank statements. Never edit a document image to force the names to match.
Companies House requires directors and people with significant control to verify their identity. An authorised corporate service provider (ACSP) can verify people in any country.
Eteform supports the ACSP route for all nationalities, including passports without a chip, subject to valid documents, sufficient evidence and required checks. Approval is not guaranteed. Applications are screened under ordinary UK compliance rules for owners, controllers, activity and payment routes.
The UK and Germany are both parties to the Apostille Convention, so covered public documents use an apostille rather than consular legalisation between the two states.
No single German agency issues every apostille. Ask the recipient first whether they need an apostille, a certified copy or a translation.
Banking: help with the application, not a guarantee
Providers assess the director's residence, activities, customers and funds. Where WorldFirst is included in your package, we help you prepare and submit the application within that agreed scope. WorldFirst decides eligibility, currencies and payment routes; it may request more documents or decline.
Opening an account does not guarantee payment-gateway approval. Check the current packages for exactly what is included.
Hypothetical example (fictitious)
Anna, an imaginary software contractor in Leipzig, wants to sign contracts with Dutch and French businesses through a UK Ltd.
Before incorporating, she asks a Steuerberater where the company would really be managed, whether her facts look more like active management from Germany or a holding setup, whether any German registration is needed, and how her invoices should handle VAT.
She then decides whether a UK Ltd, a GmbH or freelance registration fits best. This illustrates a process, not a client case or promised result.

FAQs for UK formation from Germany
If I run my UK Ltd from Berlin, is it taxed in Germany?
It might be, depending on the facts. German law looks at place of management and related concepts; a director living in Germany does not automatically make every UK company a German taxpayer or create a permanent establishment.
The UK–Germany treaty has dual-residence and permanent-establishment rules, but this page does not decide your outcome. Get independent German tax advice before you incorporate.
Do I need a German Handelsregister entry?
Not automatically. A German branch (Zweigniederlassung) or German subsidiary needs its own German filings; many remote freelancers working only through a UK Ltd without a German establishment do not start from a branch registration. Your local court, a notary or an adviser can confirm what your facts require.
Those German filings are outside this UK package.
Can I invoice EU clients without German VAT?
Sometimes reverse charge or other place-of-supply outcomes apply, but there is no general rule. It depends on the supplier, the customer and the place of supply. Have each contract reviewed.
Does the Kleinunternehmer scheme apply to my UK Ltd?
It is a German VAT scheme with its own conditions. Thresholds and rules have changed recently, so check the current § 19 UStG with an adviser before relying on it. It is not a UK formation rule.
My passport's visual name and MRZ look different. What should I file?
Use the Latin-script data page of the issued passport and show the checker both the visible line and the MRZ. Do not invent a standard transliteration for every umlaut or ß. Supporting evidence may be requested if other documents differ.
Does a German document for the UK need consular legalisation?
For covered public documents between Germany and the UK, an apostille from the competent German authority replaces consular legalisation. The competent authority depends on the document type and issuer, so confirm the office before ordering.
