Forming a UK company from Chile: RUT and Companies House are different systems

Country results

Country pages

A Santiago contractor billing overseas clients, a Valparaíso seller with Chilean customers, and a Concepción consultant serving only non-Chilean businesses may all consider a UK Ltd. Their Chilean questions differ. A UK certificate answers none of them on its own. A UK Ltd can sign contracts and issue invoices. It does not create a RUT with the Servicio de Impuestos Internos (SII), does not complete Iniciación de Actividades, does not constitute a Chilean sociedad through RES / Tu Empresa en un Día, and does not by itself settle Chilean tax when work or control sits in Chile. Eteform starts with where you live, where decisions are made, who your clients are and how money moves. Compare current packages and identity verification before you pay. This page is general information, not personal tax or legal advice.

Can you form a UK Ltd from Chile?

Yes. You can form a UK Limited company from Chile remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

RUT and Iniciación de Actividades are Chilean tax tools — not UK identity proof

The Rol Único Tributario (RUT) is Chile's taxpayer number administered by SII. Online paths cover Chilean companies, foreign natural-person investors and sociedades extranjeras.

A RUT is not a passport substitute for Companies House and is not compulsory for UK formation or ACSP identity checks.

Iniciación de Actividades is the SII notice generally required when starting businesses or occupations that produce certain Chilean taxable income, including independent professional services.

Persons domiciled abroad generally act through a Chile-resident representative. For a power granted abroad, the current SII page still instructs Chilean consular visa plus Ministry of Foreign Affairs legalisation and points to Formulario 4415.

Chile's Hague Apostille Convention entry into force (30 August 2016) means a Chilean apostille from the correct domestic competent authority can authenticate many Chilean public documents between Apostille parties — but that does not mean SII automatically accepts every foreign-granted power with an apostille alone, or that the published consular/MinRel wording is obsolete for every filing.

Confirm current acceptance with the SII office or adviser handling the filing. Dependent employees and mere partners of companies that are not foreign-company permanent establishments need not file Iniciación for those roles alone. None of this is a UK formation step.

Enter your name exactly as on the Latin-script data page of your issued passport. Compare it with the machine-readable zone. Flag differences with cédula, RUT extracts or Chilean bank statements early; never edit a document image to force a match.

Chilean sociedad or agencia, or UK Ltd?

A Chilean sociedad constituted through RES / Tu Empresa en un Día (or the ordinary notarial regime) is a Chilean company with Chilean articles and filings. That portal is Chile's official electronic company register — not a substitute for UK Companies House.

RES notes that representing a Chilean company as administrator, manager or director generally requires Chilean nationality or a foreigner with definitive or temporary visa allowing lawful activity; some visa classes cannot represent. A UK Ltd appointment does not create those rights.

Separately, Chilean tax law addresses agencias, sucursales u otras formas de establecimientos permanentes of foreign enterprises operating in Chile.

SII jurisprudence notes the Income Tax Law exemplifies agencies, branches, offices and representatives and looks at whether an agent in Chile can conclude or close business for the foreign principal.

A UK Ltd for overseas contracts does not, by itself, create a Chilean permanent establishment or force every Chile-resident founder into foreign-company RUT enrolment — ask a Chilean adviser. Municipal patente and industry permits sit outside this UK package.

Tax residence and the UK–Chile treaty — separate from the certificate

Whether a company or founder is taxed in Chile depends on Chilean tax rules and the facts — management place, income source and personal domicile or residence — not on invoices merely issuing from a UK Ltd.

Living in Chile as a director does not automatically make every UK company a Chilean-resident taxpayer or a permanent establishment. Personal tax residence is separate from the company's position.

The UK–Chile tax treaty collection includes the 2003 Double Taxation Convention (in force; effective 1 January 2005 for the taxes listed there) and 2022 MLI synthesised text; this page does not decide your treaty outcome.

Apostilles between the UK and Chile

The UK and Chile are both parties to the Apostille Convention (in force for Chile since 30 August 2016 — Hague 1961 Apostille, not a separate Nairobi instrument).

UK public documents go through the FCDO legalisation service.

For Chilean public documents, HCCH Art.6 designates multiple competent authorities — not Foreign Affairs alone: Justice (Under-Secretary and regional ministerial secretaries), Education, Health and Civil and Identification Registration Service, plus authorised persons under those ministries.

The Ministry of Justice apostille page covers notarised instruments and certain court, property-registry and Justice-service documents; Education, Health and Registro Civil handle their own classes.

Foreign Affairs handles foreign-issued and consular documents and remains legalisation for non-Apostille destinations. Chile also runs an e-Apostille / e-Register. Authentication confirms a signature or seal, not content — and is not automatic for every filing.

Identity verification for Companies House

Companies House requires directors and people with significant control (PSCs) to verify their identity. Link the verified identity to each relevant role; director verification does not replace a separate PSC linkage where that role applies.

Not every shareholder is automatically a PSC. An authorised corporate service provider (ACSP) can verify people in any country. Eteform supports that route for all nationalities, including chipless passports, subject to document checks — approval is not guaranteed. A RUT is not a passport substitute.

See identity verification.

Hypothetical example (fictitious)

Mateo, an imaginary UX contractor in Santiago, wants to bill European agencies through a UK Ltd while living in Chile.

Before incorporating, Mateo asks a Chilean accountant about permanent-establishment risk from Santiago decisions, whether a RUT-only path, Chilean SpA via RES, foreign-company inscription or Iniciación fits, and how Chilean versus overseas invoices should be treated — then chooses a path.

This illustrates a process, not a client case or promised result.

FAQs for UK formation from Chile

If I run my UK Ltd from Santiago, is the company taxed in Chile?

It might be, depending on the facts. Chilean tax looks at domicile, residence, source and permanent-establishment concepts on the actual activity pattern. A founder living in Chile does not automatically make every UK company a Chilean taxpayer or PE. Get independent Chilean tax advice before you incorporate.

Does a UK Ltd give me a RUT or replace Empresa en un Día?

No. A RUT is a Chilean taxpayer number with SII. RES / Tu Empresa en un Día constitutes Chilean companies. A UK Ltd is neither and does not replace that Chilean register.

Do I need Iniciación de Actividades for Companies House?

No. Iniciación de Actividades is an SII Chilean tax notice. UK formation and ACSP checks use passport evidence — we do not treat RUT or Iniciación as compulsory for those UK steps.

If I form a UK Ltd, do I still need a Chilean agencia or foreign-company RUT?

Possibly, if your Chilean facts create a permanent establishment or other SII enrolment — for example an agent in Chile authorised to conclude business for the foreign company. A UK Ltd for overseas work does not by itself answer it — ask a Chilean adviser.

Do Chilean documents for the UK still need embassy legalisation?

For covered public documents between Apostille parties, an apostille from the correct Chilean competent authority (Justice, Education, Health or Registro Civil by issuer — not Foreign Affairs alone for domestic public documents) replaces consular legalisation. UK documents use FCDO.

Confirm the recipient and issuer first.

Does the package guarantee a WorldFirst account?

No. Where WorldFirst is in your package, we help with the application. The provider decides eligibility and services. Check the current packages for what is included.
