Forming a UK company from Colombia: DIAN and Companies House are different systems

Country results

Country pages

A Bogotá SaaS founder billing overseas customers, a Medellín freelance developer with mixed clients, and a Cali seller focused on the Colombian market may all consider a UK private limited company. Their Colombian questions differ. A UK certificate answers none of them on its own. A UK Ltd can sign contracts and issue invoices. It does not create a RUT or NIT with DIAN, does not enrol a foreign-company branch (sucursal) at a Cámara de Comercio, and does not by itself settle Colombian tax when decisions or work sit in Colombia. Eteform starts with where you live, where decisions are made, who your clients are and how money moves. Compare the current packages and identity verification before you pay. This page is general information, not personal tax or legal advice.

Can you form a UK Ltd from Colombia?

Yes. You can form a UK Limited company from Colombia remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

RUT and NIT are Colombian tax tools — not UK identity proof

DIAN administers the RUT to identify, locate and classify persons and entities with DIAN obligations.

The NIT is the unique number used for Colombian tax, customs and FX-control filings.

For many natural persons the NIT is linked to the cédula (often shown with a verification digit) — that does not make it a passport number, and it is not every Colombian passport number. A RUT/NIT is not a passport substitute for Companies House and is not compulsory for UK formation or ACSP identity checks.

Foreign persons and foreign companies may still need RUT enrolment when Colombian tax, customs or related duties apply — including, where relevant, national-source income not attributable to a Colombian permanent establishment or branch. Foreign-company branches that are DIAN obligation-holders must also enrol.

None of that is a UK identity step. Enter your name exactly as on the Latin-script data page of your issued passport. Compare it with the machine-readable zone. Flag differences with cédula, RUT extracts or Colombian bank statements early; never edit a document image to force a match.

Colombian company, Cámara foreign-branch track, or UK Ltd?

A Colombian sociedad (for example an SAS or other local company) is formed under Colombian corporate law and registered locally. A UK Ltd is a British company on the Companies House register. Creating one does not create the other.

Colombia's LegalApp guidance states that a company constituted abroad that wants to do business permanently in Colombia must open a sucursal (a commercial establishment without separate personality from the foreign company): notarise the opening decision, then complete matrícula mercantil at the Cámara de Comercio where the activity will run.

The resolution covers the businesses, assigned capital, domicile, duration, a general attorney (mandatario) with substitutes, and a statutory auditor (revisor fiscal) who must reside permanently in Colombia.

A Colombian-nationality rule for that attorney applies only for public-service or national-security activities — not a blanket rule for every UK director. Founders may instead form a new Colombian company.

A UK Ltd for overseas contracts does not, by itself, force Cámara foreign-branch inscription — ask a Colombian adviser. Municipal licences sit outside this UK package.

Tax, Superintendencia de Sociedades and FX — facts in Colombia

Colombian tax looks at the facts — management place, national-source income and whether a permanent establishment or branch exists — not on invoices merely issuing from a UK Ltd.

Living in Colombia as a director does not automatically make every UK company a Colombian-resident taxpayer or PE. Personal tax residence is separate.

DIAN materials include fixed places of business and certain dependent agents who habitually conclude binding contracts; purely preparatory or auxiliary activity is carved out.

The UK–Colombia treaty collection includes the 2016 Double Taxation Convention, in force from 13 December 2019 (effects from 2020 as listed on GOV.UK); this page does not decide your outcome. Get independent Colombian tax advice before you incorporate.

Superintendencia de Sociedades inspection, vigilance and control over commercial companies, sole proprietorships and foreign-company branches is conditional on legal triggers — not automatic for every UK Ltd with a Colombian founder.

BanRep's FX framework requires a declaración de cambio (minimum data) through authorised FX-market intermediaries (IMC) or compensation accounts when operations are channelled through the FX market; that is an information duty, not bank authorisation, and FX-market access itself remains conditional on the intermediary.

A UK Ltd does not bypass those rules.

Directors, UK registered office and work rights

UK company directors may live outside the UK, but the company still needs an appropriate physical UK registered office.

Colombian residence is not a Companies House requirement. A UK company creates neither Colombian residence nor a right to work, and a directorship grants no UK visa.

Apostilles between the UK and Colombia

The UK and Colombia are both parties to the Apostille Convention (in force for Colombia since 30 January 2001). UK public documents go through the FCDO legalisation service.

For Colombian public documents, HCCH Art.6 designates the Ministry of Foreign Affairs — Apostille Coordination and Legalizations.

Cancillería runs a fully online apostille and legalisation platform with an e-Register.

Between Apostille parties, a Colombian apostille is generally legally sufficient for covered public documents destined for the UK when the class qualifies — confirm the channel and recipient first. Authentication confirms a signature or seal, not content.

Identity verification for Companies House

Companies House requires directors and people with significant control (PSCs) to verify their identity. Link the verified identity to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies.

Not every shareholder is automatically a PSC. An authorised corporate service provider (ACSP) can verify people in any country. Eteform supports that route for all nationalities, including passports without a chip, subject to document checks — approval is not guaranteed. A RUT or NIT is not a passport substitute.

Hypothetical example (fictitious)

Andrés, an imaginary Bogotá SaaS founder, wants to bill overseas customers through a UK Ltd while living in Colombia.

Before incorporating, Andrés asks a Colombian tax adviser about permanent-establishment risk from Bogotá decisions, whether a DIAN RUT-only path, Colombian SAS or Cámara foreign-branch matrícula fits, and how BanRep declaraciones de cambio interact with inbound payments — then chooses a path.

This illustrates a process, not a client case or promised result.

FAQs for UK formation from Colombia

If I manage my UK Ltd from Bogotá, is it taxed in Colombia?

It might be, depending on the facts — where decisions are taken, what activity happens in Colombia and how DIAN permanent-establishment and national-source concepts apply. A director living in Colombia does not automatically make every UK company a Colombian-resident taxpayer.

Get independent Colombian tax advice before you incorporate.

Does a UK Ltd give me a RUT/NIT or replace a Colombian company?

No. The RUT/NIT pair is Colombia's DIAN tax identification system. A Colombian company is formed under Colombian corporate law and local registries. A UK Ltd is neither.

Is my NIT or RUT enough for Companies House identity checks?

No. Use the Latin-script passport name and passport evidence. A NIT is a Colombian tax identifier (often linked to the cédula for natural persons); it is not a passport substitute, not every passport number, and is not compulsory for UK formation checks.

Do I need to register my UK company as a foreign sucursal at a Cámara de Comercio?

Only if your facts involve permanent business in Colombia under the commercial-code foreign-branch track — notarised opening, assigned capital, local mandatario and matrícula mercantil at the competent Cámara. A UK Ltd for overseas work does not by itself answer it — get Colombian advice on your facts.

Do documents between Colombia and the UK still need consular legalisation?

For covered public documents, an apostille from Cancillería (Ministry of Foreign Affairs) replaces consular legalisation between Apostille parties. UK documents use the FCDO service. Confirm with the recipient before you order.

Does WorldFirst approval come with the package?

No. Where WorldFirst is in your package, we help with the application. The provider decides eligibility and available services. Check the current packages for what is included.
