Forming a UK company from Kenya: structure first, local filings second

Country results

Country pages

A Nairobi contractor billing UK clients, a Mombasa seller with Kenyan customers, and a Kisumu consultant working only for overseas businesses may all consider a UK private limited company. Their Kenyan questions differ. A UK certificate answers none of them on its own. A UK Ltd can sign contracts and issue invoices. It does not create a Kenyan company at the Business Registration Service, does not automatically complete foreign-company registration where the Companies Act 2015 requires it, and does not by itself settle where the company is taxed when management and control sit in Kenya. Eteform starts with where you live, where decisions are made, who your clients are and how money moves. Compare the current packages and identity verification before you pay. General information only—not personal tax or legal advice.

Can you form a UK Ltd from Kenya?

Yes. You can form a UK Limited company from Kenya remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

BRS company, foreign company, or UK Ltd?

Kenya’s Business Registration Service administers the Companies Act, 2015. Local private companies are registered through BRS systems accessed via eCitizen using forms such as CR1. A UK certificate does not complete that Kenyan incorporation.

A company incorporated outside Kenya is a foreign company. Under section 974 of the Companies Act, a foreign company must not carry on business in Kenya unless it is registered under Part XXXVII or has a pending application within the prescribed period.

Registration uses Form FC1 (application for registration as a foreign company under section 975) and related FC forms on the BRS forms list. A registered foreign company must have a local representative and a Kenyan registered office.

Forming a UK Ltd for overseas contracts does not, by itself, mean every Kenya-resident founder must lodge FC1—ask a Kenyan company-law adviser whether your activity is “carrying on business in Kenya” under the Act. Sector licences and county permits are outside this UK package.

Passport names and national ID: keep them distinct

Enter your name exactly as on the Latin-script data page of your issued passport. Compare it with the machine-readable zone. Flag differences with a Kenyan national identity card or bank statement early; never edit a document image to force a match.

A Kenyan national ID and a KRA PIN (Personal Identification Number) are for Kenyan civic, banking and tax processes.

KRA describes the PIN as used when dealing with the Kenya Revenue Authority, other government agencies and various service providers. Neither the national ID nor the PIN is a passport substitute for Companies House. Treat both as sensitive.

UK formation and ACSP checks use passport evidence—we do not treat a KRA PIN as compulsory for those UK steps.

Corporate tax residence and personal residence — separate questions

Kenya’s Income Tax Act (Cap.470) treats a body of persons as resident if it is a company incorporated under a law of Kenya, or if the management and control of its affairs was exercised in Kenya in the year of income under consideration, or if the Cabinet Secretary has declared it resident by notice in the Gazette.

Living in Kenya as a founder or director does not automatically make every UK company a Kenyan-resident corporation, create a permanent establishment, or settle controlled-foreign-company questions.

Dual residence may engage the UK–Kenya tax treaty collection; this page does not decide your outcome. Personal tax residence is separate—review the company facts with an independent Kenyan tax adviser before you incorporate.

Tax administration and PIN registration follow KRA processes under the Tax Procedures Act framework; they do not replace UK identity verification.

Directors, UK registered office and work rights

UK company directors may live outside the UK, but the company still needs an appropriate physical UK registered office.

Kenyan residence is not a Companies House requirement. A UK company does not create Kenyan permanent residence or a right to work, and a directorship grants no UK visa.

Legalisation: Kenya is not an Apostille Convention party

Kenya does not appear on the HCCH Apostille status table. There is no Kenyan apostille competent authority under the Convention, and the Attorney-General is not an Apostille Article 6 authority for Kenya.

For British public documents, the FCDO legalisation service can attach an apostille to a UK-issued document; whether a Kenyan recipient then requires a further step is for that recipient to confirm.

For Kenyan documents for use abroad, the documented foreign-affairs route is authentication by the Ministry of Foreign and Diaspora Affairs, accessed through mfa.ecitizen.go.ke (not an apostille).

Official Kenyan mission guidance for use of Kenyan documents abroad describes issuer certification and MFDA authentication on that portal, then—where the destination state requires it—consular legalisation by that state’s mission. Exact pre-steps for a notarised private document vary by document type and recipient.

This page does not add a High Court registrar step. Confirm the receiving authority’s chain, or take Kenyan legal advice, before you pay for stamps. Authentication confirms a signature or seal, not the content.

Identity verification for Companies House

Companies House requires directors and people with significant control (PSCs) to verify their identity. Link the verified identity to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies.

Not every shareholder is automatically a PSC. An authorised corporate service provider (ACSP) can verify people in any country. Eteform supports that route for all nationalities, including passports without a chip, subject to document checks—approval is not guaranteed.

A KRA PIN or national ID is not a passport substitute. See our identity verification service.

Hypothetical example (fictitious)

Amina, an imaginary UX contractor in Nairobi, wants to bill European agencies through a UK Ltd while living in Kenya.

Before incorporating, Amina asks a Kenyan accountant about management-and-control risk from decisions made in Nairobi, whether any BRS local-company or FC1 foreign-company step fits the local facts, how a KRA PIN relates only to Kenyan tax identity, and what MFA authentication—and any further consular steps the recipient requires—any Kenyan document would need—then chooses between a UK Ltd, a Kenyan company or another path.

This illustrates a process, not a client case or promised result.

FAQs for UK formation from Kenya

If I run my UK Ltd from Nairobi, is the company taxed in Kenya?

It might be, depending on the facts. The Income Tax Act looks at whether management and control of the company’s affairs were exercised in Kenya. A founder living in Kenya does not automatically make every UK company Kenyan-resident. Get independent Kenyan tax advice before you incorporate.

Is a BRS company the same as a foreign-company registration?

No. A Kenyan company is incorporated under Kenyan law (for example via CR1). Foreign-company registration (FC1 and related forms) records an overseas company that carries on business in Kenya. A UK Ltd is neither until those Kenyan steps apply.

If I form a UK Ltd, must I register it as a foreign company at BRS?

Only if the company will carry on business in Kenya under section 974. Overseas-only contracting does not by itself answer it—ask a Kenyan adviser about your facts.

Can I use my KRA PIN instead of my passport for Companies House?

No. Use the Latin-script passport name and passport evidence. A KRA PIN is a Kenyan tax identity for KRA and related processes; it is not a passport substitute, and we do not treat it as compulsory for UK formation checks.

Do Kenyan documents for the UK use an apostille?

No. Kenya is not an Apostille Convention party. Kenyan documents typically need Ministry of Foreign and Diaspora Affairs authentication (via the MFA eCitizen channel) and, where the recipient requires it, further consular legalisation. UK documents use the FCDO service. Confirm the recipient’s chain first.

Does the package guarantee a WorldFirst account?

No. Where WorldFirst is in your package, we help with the application. The provider decides eligibility and available services. Check the current packages for what is included.
