A developer in Cyberjaya billing a European client, a Kuala Lumpur ecommerce seller shipping regionally, or a Malaysian professional working abroad may each consider a UK private company limited by shares. Their situations differ. (Hypothetical examples only—not client stories or promised outcomes.) A UK Ltd can hold contracts and issue invoices. It does not replace SSM registration where your Malaysian activity needs it, does not settle Malaysian tax for you, and does not guarantee a business account. Eteform starts with what you sell, where the work is done, where owners live, and how money moves. This page is general information, not personal tax or legal advice.
Can you form a UK Ltd from Malaysia?
Yes. You can form a UK Limited company from Malaysia remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.
A UK Ltd is not an SSM business, an Sdn Bhd or a Malaysian foreign company
SSM’s comparison of entities separates paths clearly. A sole proprietorship or partnership is registered under the Registration of Businesses Act 1956. A company such as a Sendirian Berhad (Sdn.Bhd.) is incorporated under the Companies Act 2016. An LLP follows the Limited Liability Partnerships Act 2012.
None of these is created by a UK certificate. MalaysiaBiz states that sole proprietorship / partnership registration under ROBA 1956 requires the owner to be a Malaysian citizen or permanent resident (age 18+).
That citizen/PR rule applies to that ROBA path—not automatically to every Companies Act 2016 company. Personal-name businesses use the name as on the identity card; trade names follow separate naming principles.
A UK Ltd does not waive local business or trade licensing—check MalaysiaBiz licensing information and the relevant agency for your activity.
Forming a UK Ltd for overseas contracts does not, by itself, mean every founder must register a Malaysian foreign company—ask a Malaysian adviser whether your actual local operations trigger that.
A UK company can still suit software, design, digital marketing or remote support for overseas clients when you want a clear contracting entity. Expanding services through a company is a normal commercial reason; it does not decide where the work is taxed.
UK rules allow directors to live abroad, with an appropriate UK registered office. Shares or a directorship are not a UK visa, residence or work right, and incorporation is not a Malaysian sector permit.
Before you apply, note who owns the shares, who runs day-to-day decisions, and who will handle filings and accounting—including any person with significant control.
Names, MyKad and passport: keep the official order
Malay naming often uses bin or binti rather than a Western surname. Use the Latin spelling and order exactly as on your passport or MyKad. Do not drop “bin/binti”, reverse given and family elements to “look English”, or invent a surname for Companies House.
If MyKad and passport spellings differ, flag both early—do not edit document images to force a match. Most official Malaysian documents used for identity are already in Latin script for the name line; ask before ordering translations.
Tax residence and foreign income — facts, not blanket exemptions
OECD-reported Malaysian practice (reflecting the Income Tax Act 1967) determines individual tax residence mainly by physical presence tests (including the common 182-day threshold and related statutory circumstances)—not by citizenship alone.
Malaysian citizens are not automatically tax residents.
For companies, Malaysian practice (Income Tax Act 1967, as summarised in the same OECD residency note) treats residence as turning on management and control exercised in Malaysia—not place of incorporation alone.
A UK Ltd whose directors take strategic decisions in Malaysia can raise dual-residence questions—get Malaysian and UK advice before you rely on any structure.
On foreign income, LHDN’s June 2024 guidelines on income received from abroad state that, from 1 January 2022, foreign income received in Malaysia by a resident is generally subject to tax, with limited exemptions under conditions and time windows in that guideline.
Do not assume a UK invoice or company address removes Malaysian tax. File with LHDN where required.
The UK–Malaysia tax treaty (1996 agreement as amended by the 2010 protocol, in force) can allocate taxing rights; it is not automatic relief. A UK-incorporated company is usually UK tax resident and still needs UK records and filings.
Money movement: Bank Negara policy without invented rules
Bank Negara Malaysia describes Malaysia’s foreign exchange policy as liberal within a prudential framework, with published rules by residency. That does not mean every inbound route or bank product is universally available, and it does not cancel bank document requests or tax rules.
Ask your bank how inbound payments are settled and which documents it needs before promising clients a collection path. A UK account does not replace Malaysian banking practice.
Legalisation: Malaysia is not an Apostille Convention party
Do not order an apostille expecting it to complete Malaysian use of a UK public document, or UK use of a Malaysian public document, under the Convention.
For Malaysian documents that need authentication for use abroad, the Ministry of Foreign Affairs (Wisma Putra) attests documents through its Consular Division before foreign missions endorse them.
For UK documents, the UK legalisation service handles UK-issued papers; a Malaysian recipient or Malaysian mission may still require further steps. Always ask the receiving body first—many formation and banking steps need none.
Authentication confirms a signature or seal, not the content.
Banking: application help, not approval
Check current packages for the account service included. Where applicable, we help prepare and submit a WorldFirst application. The provider decides eligibility, routes and approval; we give no Malaysia-locale guarantee. The formation order is open to any nationality.
A business account and a payment gateway are separate products. Nationality alone is neither a privilege nor an exclusion.
Documents and identity for Companies House
Companies House requires identity verification for directors and people with significant control (PSCs).
The verified identity must be linked to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies. Not every shareholder is a PSC. Remote verification through an authorised corporate service provider (ACSP) is available from any country.
Eteform supports that route for all nationalities, including passports without a readable chip, subject to document checks—approval is not guaranteed. MyKad may support a Malaysian file where the route allows, but it is never an automatic passport replacement for every Companies House step.

FAQs for UK formation from Malaysia
Can I put my UK Ltd on SSM as a sole-proprietor business name?
No. Sole proprietorship / partnership registration under ROBA 1956 is a Malaysian path for citizen/PR owners. Local companies use the Companies Act 2016.
Forming a UK Ltd does not itself register anything at SSM; ask an adviser only if your actual Malaysian activity triggers a local company or foreign-company registration.
I’m a Malaysian citizen. Am I automatically a Malaysian tax resident?
No. Residence for individuals turns on statutory physical-presence tests, not citizenship alone. Confirm with LHDN guidance or a Malaysian adviser.
If I manage the UK company from Malaysia, where is it taxed?
Malaysian company residence looks at management and control in Malaysia. Dual residence and treaty questions can arise. Get advice before you incorporate.
Do bin/binti names need to be rewritten as a Western surname?
No. Use the passport / MyKad spelling and order. Flag differences early; do not edit documents.
Will I definitely get a WorldFirst account?
No. We assist with the application; the provider decides eligibility and available services for Malaysia-resident owners.
Can I use an apostille between Malaysia and the UK?
Not under the Apostille Convention: Malaysia is not listed as a party on the HCCH status table. Use MFA attestation / mission endorsement or UK legalisation as the recipient requires, and confirm before you pay for any step.
