Forming a UK company from Portugal: a practical guide for founders

Country results

Country pages

A product designer in Porto, a technical consultant in Lisbon and a Portuguese national still delivering work from the Algarve face different pressures. Start with the operating picture: which entity signs contracts, where the work is performed, who owns the IP, and which account receives the fees? A UK private limited company can support international contracting; it does not rewrite where you work or replace a Portuguese registration your activity already requires. Eteform supports remote UK formation and identity verification. Compare packages and identity verification. Formation does not guarantee a bank or payment account, Portuguese tax clearance or immigration rights.

Can you form a UK Ltd from Portugal?

Yes. You can form a UK Limited company from Portugal remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

Forming a UK Ltd from Portugal — practical overview

A UK Ltd is not a NIF, unipessoal Lda or trabalhador independente

A UK Ltd is registered with Companies House. In Portugal, personal tax identity and commercial vehicles sit on different tracks. The Número de Identificação Fiscal (NIF) — also called número de contribuinte — identifies a person for Portuguese tax purposes.

Portuguese citizens with a Cartão de Cidadão receive a NIF automatically; others request one through Autoridade Tributária e Aduaneira (AT) channels on gov.pt. A UK certificate does not issue a NIF.

Portuguese company forms are also separate. Empresa Online covers sociedade unipessoal por quotas, sociedade por quotas and sociedade anónima: tipos de empresa.

A unipessoal por quotas has a single shareholder, liability limited to company capital, and a firm name that must include “unipessoal” plus “Lda.”: constituição. That Portuguese Lda is not a UK Ltd.

Working por conta própria as a trabalhador independente (often with recibos verdes) is another path: opening activity with Finanças, issuing electronic receipts, and meeting IRS, IVA and Segurança Social duties in the gov.pt independent-worker guide and its tax chapter.

Remote UK contracting does not automatically open that Portuguese activity or convert you into a unipessoal Lda. If you already trade in Portugal, map how the UK company relates to that status before moving contracts, and ask a Portuguese accountant (contabilista certificado).

Directors may live abroad, but the company needs an appropriate physical registered office in its UK registration jurisdiction: company address.

A Portuguese professional address is not a substitute for that UK office, and a UK registered office is not Portuguese tax residence, a visa or a work right.

Passport names: keep Portuguese accents and full surnames as issued

Use the name fields on your issued passport, including accents such as ã, ç, ó, á and é, and keep given names and surnames as printed. Compare them with the machine-readable zone (MRZ). Do not invent an “English name” by stripping accents or dropping a surname.

If the visible line and the MRZ differ, show both to the checker before filing. Explain differences with evidence, not by editing a document image.

The Companies House verification standard confirms name and date of birth; it has no Portuguese-letter conversion rule.

Identity checks and documents

Prepare for review: passport and clear identity evidence; full and former names, date of birth, home address, the previous 12 months’ address history and your own email; supporting documents the checker requests; and proposed directors, shareholders, share allocation, people with significant control, plus a clear account of the business, place of work and customers.

An Authorised Corporate Service Provider (ACSP) must meet Companies House’s verification standard. Manually checked route: two Group A photographic documents, or one Group A plus one Group B; non-UK residents need at least one government-issued document.

A non-biometric passport is a reason to discuss the route, not a promise of acceptance. Eteform supports ACSP verification for all nationalities, including chipless passports, subject to valid documents, sufficient evidence and required checks, without guaranteeing success.

Ordinary UK compliance screening applies to owners, controllers, activity and payment routes; support does not guarantee acceptance. Companies House requires identity verification for directors and people with significant control (PSCs).

Link the verified identity to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies. Not every shareholder is automatically a PSC—rights and circumstances matter.

Apostilles: ask the recipient first

The HCCH status table records the Apostille Convention in force for Portugal from 4 February 1969 (ratification) and for the United Kingdom from 24 January 1965 (ratification).

If a Portuguese recipient requests your UK company certificate, ask whether it needs an original or certified copy, a paper or accepted electronic apostille, and a Portuguese translation.

The UK Legalisation Office apostilles eligible UK documents, including certain Companies House certificates, and cannot legalise Portuguese-issued documents.

Portuguese public documents for use abroad are apostilled by Portugal’s competent authority: the Prosecutor General’s Office in Lisbon, with delegated competence to the District Deputy Prosecutors General of Porto, Coimbra and Évora and to the county offices of Madeira (Funchal) and the Azores (Ponta Delgada): apostille FAQ.

Between EU Member States, Regulation (EU) 2016/1191 can remove the apostille for certain listed public documents inside the EU; it does not turn a UK Companies House certificate into an EU public document.

An apostille authenticates a signature or seal, not banking eligibility or tax residence.

Accounts, cross-border receipts and IVA wording

Treat account eligibility as separate from formation. Within agreed scope we help prepare and submit a WorldFirst application; WorldFirst decides eligibility, currencies and Portugal-related routes—no account guarantee. Cross-border consultancy receipts are not one automatic IVA story.

Independent workers issuing recibos verdes for EU clients follow Portal das Finanças rules for domestic, intra-EU and other foreign clients, including VIES checks where relevant: obrigações fiscais.

Intra-EU B2B and B2C place-of-supply rules differ—ask a Portuguese tax adviser.

Tax, local registration and UK filings

Portuguese tax residence, IRS categorisation of foreign-source income, Segurança Social and any permanent-establishment analysis turn on where you live and where the activity is carried on, not on UK incorporation alone.

See gov.pt’s IRS guide and the AT Portal das Finanças. We do not prescribe a UK-parent structure.

UK incorporation is not an automatic Portuguese tax holiday or IVA / Segurança Social waiver, and living in Portugal as a founder does not by itself create a Portuguese permanent establishment of a UK company. Eteform does not offer Portuguese legal, tax or filing services.

The UK–Portugal double taxation convention was signed in London on 15 September 2025 and entered into force on 29 December 2025, replacing the 1968 convention.

HMRC records it as effective in Portugal from 1 January 2026, and in the UK from 1 January 2026 for taxes withheld at source, 1 April 2026 for Corporation Tax and 6 April 2026 for Income Tax and Capital Gains Tax. Treaties allocate taxing rights; they are not a blanket exemption.

Plan Companies House accounts and confirmation statements. A Company Tax Return is required when HMRC issues a notice to deliver one, even on a loss or with no Corporation Tax payable.

A hypothetical document journey

Inês, a product designer based in Porto, considers a UK Ltd for overseas retainers while keeping any Portuguese independent activity or company status in view.

She matches the accented full name on her issued passport with her bank statement and NIF records, asks the ACSP to resolve any MRZ mismatch, and reviews with a contabilista certificado where the work is performed, which entity should invoice, and whether Portuguese IVA wording or an intra-EU reverse charge applies.

If a Portuguese body later requests her UK certificate, she confirms certification and translation needs before a UK apostille. This is a labelled hypothetical, not a client result.

FAQs for UK formation from Portugal

Can I be a UK director while living in Portugal?

Yes, subject to director eligibility and identity checks; UK residence is not required. Work from Portugal still needs Portuguese tax, social and registration review.

Does a UK Ltd give me a NIF or create a unipessoal Lda?

No. A NIF is a Portuguese tax identifier via AT / gov.pt. A unipessoal Lda is a Portuguese company—not a Companies House event.

Is a UK Ltd the same as opening trabalhador independente activity?

No. Independent activity involves Finanças, recibos verdes, IRS, IVA and Segurança Social under Portuguese guidance.

Must every invoice show Portuguese IVA or be zero-rated?

No. Treatment depends on regime, client status and location, including intra-EU rules.

What if my passport has accents or multiple surnames but other documents differ?

File from the issued passport and show both the visual line and the MRZ. Do not strip accents or drop surnames yourself.

Is an apostille always required, and does the EU public-documents regulation remove it?

Only when the recipient asks. Confirm copy type and translation first. UK documents use the UK Legalisation Office; Portuguese-issued documents use the Prosecutor General’s Office (with delegated district and autonomous-region services).

Regulation (EU) 2016/1191 can remove apostille for certain listed EU-to-EU public documents; it does not cover UK company certificates as EU documents.
