Form a UK company from Singapore: start from where you work and live

Country pages

A product engineer in Punggol billing a US SaaS client, an ecommerce operator fulfilling from Jurong while selling overseas, or a professional on a work pass managing remote retainers may each consider a UK private company limited by shares. These are labelled hypotheticals, not client files and not promised results. The UK company can sign and invoice. Where the work is actually done in Singapore, an ACRA registration may still be required; the UK certificate does not settle IRAS and does not open a business account. Eteform asks what is sold from Punggol or Jurong, where the owners live, and how the money moves. This is general information, not personal tax or legal advice.

Can you form a UK Ltd from Singapore?

Yes. You can form a UK Limited company from Singapore remotely through an ACSP. The price on this page is From £450 + £100. The Companies House fee stays separate from the service fee. Filing is usually within 24–48 UK business hours after a complete file; that is a typical window, not a guaranteed registration time.

Forming a UK Ltd from Singapore — practical overview

See also UK company formation, 2026 cost breakdown, and packages.

A UK Ltd is not a Singapore business registration

ACRA describes several Singapore structures: sole proprietorship, partnership, limited partnership, limited liability partnership and company (such as a private limited company).

A sole proprietorship is not a separate legal entity from the owner. A Singapore company is. None of these is created by a UK certificate of incorporation.

If a foreign company will establish a place of business or carry on business in Singapore, ACRA’s path is to register as a foreign company branch.

That route needs a corporate service provider to file, a Singapore registered office address, and at least one authorised representative who meets local residency requirements.

Forming a UK Ltd for overseas contracts does not itself mean every founder must register a Singapore foreign branch—ask a Singapore adviser whether your actual local activity triggers that.

A UK company can still suit software, design, digital marketing, SaaS or remote support for overseas clients when you want a clear contracting entity. Using a UK company for overseas software or support is a commercial choice. It does not decide whether work done in Singapore is taxed there.

A director may live in Singapore. UK rules still require an appropriate registered office in the UK.

Shares or a directorship are not a UK visa, residence or work right, and incorporation is not a Singapore sector licence or work-pass approval. Before you apply, note who owns the shares, who runs day-to-day decisions, and who will handle filings and accounting—including any person with significant control.

Addresses, names and digital identity are not interchangeable

A Singapore ACRA registered office must be a Singapore address that can receive official communications; ACRA notes it does not need to be your place of operation and cannot be a P.O. box. Officers also file residential addresses (with an optional contact address for public display).

That Singapore registered office does not replace the company’s UK registered office, and a UK virtual office does not become a Singapore business address. Use passport names exactly, including any aliases shown on the biodata page. Do not invent a “Western” short name for Companies House.

SingPass (with MyInfo where used) is Singapore’s national digital identity for government and private services—it can help complete a Singapore digital profile where that profile is needed, but it is never an automatic passport replacement for UK Companies House identity verification.

A Foreign Identification Number (FIN) identifies certain foreigners for Singapore immigration and local registration; it is likewise not an automatic passport substitute for Companies House. Bring the combination your ACSP confirms for your route.

Tax and GST in brief — scope, not rates

Under IRAS company tax residency rules, a company is a Singapore tax resident for a Year of Assessment when its control and management were exercised in Singapore in the preceding calendar year.

Control and management means strategic decisions (for example board policy). Place of incorporation is not necessarily indicative. A Singapore branch of a foreign company is generally not treated as Singapore tax resident.

A UK-incorporated company is usually UK tax resident and still needs UK records and filings; if strategic decisions are made in Singapore, take the dual-residence question to advisers before you rely on any structure.

For individuals, IRAS states that all income earned in Singapore is taxable.

Tax residency (citizen/PR who normally resides, or foreigner meeting day/work tests) affects rates and reliefs. IRAS notes that tax residents are taxed on income earned in Singapore, and that foreign-sourced income brought into Singapore is generally tax-exempt for individuals (with a partnership exception).

Income you earn while working from Singapore is not automatically “foreign” because the invoice is British. Ask an adviser about salary, dividends and UK-company management from Singapore. GST is a separate question.

Compulsory GST registration/gst-registration-deregistration/do-i-need-to-register-for-gst) turns on taxable turnover under IRAS’s retrospective or prospective views (more than S$1 million).

Taxable turnover covers taxable supplies made in Singapore in the course of business (standard-rated and zero-rated), not every overseas invoice. Do not assume a UK Ltd selling only international services is automatically outside—or inside—GST. Confirm with IRAS guidance or a Singapore GST adviser.

This page does not quote GST or corporate tax rates. The UK–Singapore tax treaty can allocate taxing rights; it is not automatic relief.

Apostilles when a recipient asks

Singapore deposited its accession to the Apostille Convention on 18 January 2021; the Convention entered into force for Singapore on 16 September 2021.

The UK and Singapore both appear on the HCCH status table.

The Singapore Academy of Law is Singapore’s designated competent authority; applications and verification run through legalisation.sal.sg, which also supports e-Apostille / Apostille verification.

UK public documents for use in Singapore go through the UK legalisation service. The apostille speaks to the signature or the seal, not to the document’s contents. Ask the Singapore or UK recipient before you order one. Plenty of formation files never need it.

Banking: application help, not approval

The account help in current packages is application help. Where it is included, we prepare and submit a WorldFirst application. WorldFirst decides eligibility, routes and approval. Living in Singapore does not guarantee an account. Confirm the fit before you pay.

A business account and a payment gateway are different products. Nationality by itself neither prefers nor excludes a file.

Documents and identity for Companies House

Companies House requires identity verification for directors and people with significant control (PSCs).

The verified identity must be linked to each relevant role; verifying as a director does not replace a separate PSC linkage where that role applies. Not every shareholder is a PSC. Eteform can run the ACSP check from Singapore for any nationality, including a passport with no readable chip.

The documents still have to pass the check, and approval is not guaranteed. See identity verification.

FAQs for UK formation from Singapore

Does a UK Ltd replace ACRA registration or a Singapore Pte Ltd?

No. ACRA registers Singapore sole proprietorships, partnerships, LLPs and companies. A foreign company that will carry on business in Singapore may need a registered foreign branch. Ask a Singapore adviser about your actual local activity.

If I manage the UK company from Singapore, is it Singapore tax resident?

IRAS looks at where control and management are exercised, not only at UK incorporation. If strategic decisions are made in Singapore, dual residence and treaty questions can arise. Get advice before you rely on any outcome.

Can I use SingPass or MyInfo instead of my passport for Companies House?

No. SingPass/MyInfo can help with Singapore digital services and a local profile where needed, but they never replace a passport for UK identity verification. A FIN likewise is not an automatic passport substitute for that check.

Must I register for GST because I have a UK company?

Not automatically. Compulsory GST registration depends on taxable turnover of supplies made in Singapore under IRAS rules. Confirm whether your supplies fall in scope.

Will I definitely get a WorldFirst account?

No. We assist with the application; the provider decides eligibility and available services for Singapore-resident owners.

Do I always need an apostille to form the company or open an account?

No. Use an apostille only when a recipient requires a public document from the other country. Singapore and the UK both participate in the Apostille Convention; confirm with the recipient before you legalise anything.
